This role is a senior -level position for Abbott entities in India. This position will be the Company Secretary for the listed entity, Abbott India Limited and also manage the secretarial and corporate governance operations for other 4 Abbott entities in India.
Is responsible for managing the Boards of Directors, advising on board and corporate governance matters, and supporting corporate decision-making processes.
Is further responsible for ensuring compliance with legal and regulatory requirements and all Corporate, Secretarial, SEBI reporting’s, filings and compliances.
Supports clients in the achievement of business objectives by rendering sound legal and secretarial advice and managing statutory risks to the company.

CORE JOB RESPONSIBILITIES
Objectives of the role

Serving as the primary point of contact for the board of directors, shareholders and regulatory authorities on listing regulations, reporting requirements and corporate governance matters.

Coordinating, attending and facilitating board and general meetings, including preparing agendas, board packs and minutes and appropriate distribution. organising annual general meetings and handling shareholder inquiries.

Ensuring compliance with statutory and regulatory requirements, including drafting and filing annual returns, reports, disclosures and resolutions.

Maintaining corporate records, registers and statutory books as per the applicable laws and regulations.

Guiding corporate governance best practices and implementing governance frameworks and advising stakeholders on corporate governance best practices, legal requirements and compliance issues. Conduct reviews and assessments to identify areas for improvement.

Liaising with regulatory authorities, such as the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC) and the Securities and Exchange Board of India (SEBI).

Communicate and coordinate with global stakeholders, external advisors, legal counsel and auditors on corporate governance and compliance issues.

Risk analysis and risk mitigation relating to assigned matters which may have a significant to critical impact on business activities and operations.

Assists attorneys in addressing complex legal issues on cross-functional projects.

Represents Abbott externally to customers, suppliers, competitors or government agencies

Updates and advises, Legal Director or Area Counsel or Divisional Vice President Legal and appropriate legal departments on critical project developments /matters in a timely manner.

Independently develops budgets for assigned corporate governance matters.

MINIMUM QUALIFICATIONS
Minimum Education : CS qualification and membership of ICSI
Appropriate training and qualification required in relevant country/region with additional certifications in corporate governance, Data Privacy, Secretarial Standards preferred.
