Job Summary
We are looking for a motivated and detail-oriented Company Secretary Trainee to join our Corporate Secretarial team. The candidate will assist in ensuring statutory and regulatory compliance, maintaining corporate records, preparing documentation, and supporting various secretarial and legal activities of the Company.
The role will provide practical exposure to Companies Act, SEBI regulations, MCA filings, Board and General Meetings, statutory registers, corporate governance, and other regulatory requirements applicable to an FMCG organization.
Key Responsibilities
1. Corporate Secretarial Compliance
- Assist in ensuring compliance with the Companies Act, 2013 and applicable rules and regulations.
- Assist in preparation and maintenance of statutory records, registers, and corporate documents.
- Support timely filing of forms and returns with MCA/ROC.
- Assist in monitoring statutory compliance calendars and ensuring timely completion of compliances.
- Assist in maintaining records of directors, shareholders, and key managerial personnel.
2. Board & General Meetings
- Assist in preparing agendas, notices, minutes, and supporting documents for:
- Board Meetings
- Committee Meetings
- Annual General Meetings (AGM)
- Extra-Ordinary General Meetings (EGM)
- Coordinate with internal departments for collection of information and documents required for meetings.
- Assist in maintaining minutes and records of meetings.
3. Legal & Regulatory Support
- Assist the Company Secretary in monitoring changes in corporate laws, regulations, and compliance requirements.
- Conduct basic legal and regulatory research as required.
- Assist in preparing compliance reports, MIS, and management updates.
- Support documentation related to corporate governance and regulatory matters.
4. ROC / MCA Compliance
- Assist with preparation and filing of statutory forms with the Registrar of Companies (ROC).
- Maintain records of filed forms, challans, acknowledgements, and other MCA documents.
- Assist in ensuring accuracy and completeness of information submitted to regulatory authorities.
5. Shareholder & Corporate Records
- Assist in maintaining shareholder and share-related records.
- Coordinate with RTA, depositories, banks, auditors, and other external stakeholders where required.
- Assist in matters relating to share transfers, transmissions, allotments, and other corporate actions, as applicable.
6. Internal Coordination
- Coordinate with Finance, HR, Legal, Accounts, Audit, and other business functions for secretarial compliances.
- Assist in collecting information and documents required for audits and statutory filings.
- Maintain proper documentation and confidentiality of sensitive corporate information.
Candidate Profile
Qualification:
- CS Executive / CS Professional pursuing candidate.
- Candidates undergoing Company Secretary Training will be preferred.
- Graduate in Commerce, Management, Law, or a related field will be an advantage.
Experience:
- CS trainees can apply.
- Prior internship or training experience in a corporate, listed company, FMCG, manufacturing, or legal/secretarial department will be an advantage.
