Job Title: Company Secretary
Job Summary
The Company Secretary is responsible for ensuring that the hospital complies with all applicable corporate laws, statutory regulations, governance requirements, and secretarial standards. The role supports the Board of Directors, maintains statutory records, coordinates board and committee meetings, manages regulatory filings, and provides legal and governance advice to senior management.
Key Responsibilities
- Ensure compliance with the Companies Act, Secretarial Standards, and other applicable corporate laws.
- Organise and coordinate Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Prepare meeting notices, agendas, board papers, and minutes.
- Maintain statutory registers, records, and corporate documents.
- File statutory returns, forms, and disclosures with the Registrar of Companies (ROC) within prescribed timelines.
- Coordinate with legal consultants, statutory auditors, secretarial auditors, and regulatory authorities.
- Draft and review agreements, contracts, and legal documents.
- Manage incorporation, alteration, and closure of companies, branches, or subsidiaries, if applicable.
- Ensure compliance with FEMA and other statutory requirements as applicable.
- Support due diligence activities, mergers, acquisitions, investments, and fundraising initiatives.
- Maintain confidentiality of sensitive corporate information.
- Liaise with internal departments for statutory compliance and documentation.
Required Skills
- Strong knowledge of the Companies Act, 2013, Secretarial Standards, and corporate laws.
- Expertise in ROC filings and MCA compliance.
- Knowledge of FEMA and corporate legal documentation.
- Excellent drafting and documentation skills.
- Strong communication and presentation skills.
- High level of integrity and confidentiality.
- Excellent organisational and time management skills.
- Ability to coordinate with senior leadership and external authorities.
- Proficiency in Microsoft Office and MCA filing portals.
Required Qualifications
- Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
- LLB or additional legal qualification is preferred.
Experience
- 3–5 years of experience as a Company Secretary.
- Experience in hospitals, healthcare, or corporate organisations is preferred.
- Experience handling Board Meetings, ROC filings, legal compliance, and corporate governance.
