Position: Company Secretary

Key Responsibilities
1. Convening, conducting, and managing Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
2. Drafting and finalizing notices, agendas, resolutions, minutes, and other secretarial documents in compliance with the Companies Act, 2013 and Secretarial Standards (SS-1 & SS-2).
3. Ensuring compliance with the Companies Act, 2013, Rules made thereunder, MCA notifications, and other applicable corporate laws.
4. Preparation and filing of all ROC forms, Annual Filing Forms, Event-Based Filings, XBRL filings, and other statutory filings with the Ministry of Corporate Affairs (MCA).
5. Maintaining and updating statutory registers, records, minutes books, and secretarial documentation of the Company and its group entities.
6. Monitoring compliance calendars and ensuring timely completion of statutory and regulatory compliances.
7. Handling incorporation of companies, changes in directors/KMPs, share allotments, transfer and transmission of shares, increase in authorized capital, charge creation/modification/satisfaction, and other corporate actions.
8. Coordinating with promoters, directors, auditors, legal advisors, consultants, bankers, and regulatory authorities on corporate and compliance matters.
9. Managing secretarial compliances for group companies, subsidiaries, associate companies, and LLPs.
10. Assisting in legal documentation, due diligence exercises, audits, inspections, and regulatory reviews.
11. Coordinating with internal departments and external consultants for statutory compliances relating to Income Tax, PF, ESI, Professional Tax, Labour Laws, and other applicable laws.
12. Coordinating and ensuring compliance relating to dematerialisation of shares, liaison with Depositories, Registrar & Share Transfer Agents (RTA), NSDL/CDSL, and shareholders.
13. Assisting in implementation and monitoring of corporate governance practices and regulatory requirements.
14. Reviewing contracts, agreements, legal notices, and corporate documents from a compliance perspective.
15. Providing support in fundraising transactions, investor-related compliances, restructuring activities, and other strategic corporate initiatives, as applicable.
16. Keeping track of amendments in corporate laws, securities laws, and other regulatory requirements and ensuring their timely implementation.
Qualification & Experience
* Qualified Company Secretary (Member of ICSI) / CS Professional.
* Experience in handling multiple group entities and real estate sector compliances will be preferred.
* Strong knowledge of Companies Act, 2013, Secretarial Standards, MCA filings, and corporate governance practices.
* Working knowledge of Income Tax, Labour Law, and other statutory compliances will be an added advantage.
Skills Required
* Excellent drafting and communication skills.
* Strong knowledge of corporate laws and secretarial practices.
* Ability to independently handle compliances and statutory filings.
* Good stakeholder management and coordination skills.
* Proficiency in MCA portal, MS Office, and compliance management tools.
