Role Purpose
The incumbent will assist the Corporate Legal & Secretarial Department in managing secretarial, legal, governance, compliance, documentation, and regulatory matters for group companies operating across India and international jurisdictions. This role provides deep exposure to corporate laws, commercial contracts, cross-border corporate governance, banking documentation, and global business operations.
Key Responsibilities
1. Secretarial & Group Corporate Compliance
- Meeting Management: Assist in scheduling, conducting, and documenting Board, Committee, and Shareholders' Meetings.
- Drafting: Prepare Board Resolutions, Circular Resolutions, Minutes, Meeting Notices, and detailed Agenda Papers.
- Record Keeping: Maintain and update statutory registers, corporate records, and internal secretarial files.
- Filing Operations: Coordinate with Practicing Company Secretaries (PCS) for RoC filings and annual statutory compliance.
- Global Tracking: Monitor statutory due dates and compliance calendars for both domestic and overseas group entities.
2. Legal Documentation & Contract Management
- Agreement Drafting: Review and draft standard corporate legal documents, including NDAs, MOUs, Service Agreements, Vendor Contracts, Declarations, Undertakings, and Powers of Attorney.
- Repository Lifecycle: Maintain the central corporate contract repository and actively track validity, renewal deadlines, and expirations.
3. Regulatory, Compliance & Legal Research
- Legal Supervision: Ensure absolute compliance with the Indian Companies Act, 2013, and other applicable local laws.
- Internal Coordination: Work with internal departments to secure and track necessary licenses, registrations, and regulatory approvals.
- Research Execution: Conduct meticulous legal research regarding corporate, commercial, labour, and regulatory shifts to prepare legal notes and management updates.
4. Banking, IP & Litigation Support
- Banking Operations: Prepare and verify KYC documents; support banking actions including account opening, signature mandates, guarantees, and facility documentation.
- IP Management: Coordinate with external trademark attorneys regarding global trademark filings, renewals, and legal actions.
- Litigation Tracking: Maintain the corporate litigation tracker, archive case files, gather evidence, and coordinate updates with external advocates.
5. Document & Data Management
- Central Archival: Administer the centralized Document Management System (DMS) through precise indexing, scanning, and digital archival of all group records.
- MIS Reporting: Assist in drafting legal MIS reports, corporate restructuring assignments, and due-diligence data rooms.
Desired Skills & Qualifications
- Core Knowledge: Strong, foundational understanding of the Companies Act, 2013.
- Preferred Knowledge: Basic familiarity with FEMA, LLP Act, and SEBI regulations.
- Technical Skills: Advanced proficiency in Microsoft Office (Word, Excel, PowerPoint) and legal research databases.
- Execution Capabilities: Strong drafting skills with a sharp eye for legal nuance and detail.
- Communication: Excellent verbal and written communication skills to interface with cross-border management.
Pay: ₹1,000,000.00 - ₹1,200,000.00 per year
