Job Requirements
- Role brief:
- The candidate will be responsible for handling secretarial compliances of the Company and its group entities, supporting the Board and Committees, and ensuring compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable corporate laws.
- Assisting and coordinating for due diligence and preparation of Offer Documents and making applications to SEBI Stock exchanges under ICDR and other related regulations.
- Detailed job description:
Ø Ensuring compliance with SEBI (LODR) Regulations, viz. Quarterly, half-yearly, annual and event based stock exchange disclosures;
Ø Ensuring compliance with SEBI (Prohibition of Insider Trading) Regulations, viz. trading window closure, maintenance of SDD, communications with the designated persons and related disclosures, etc.
Ø Coordination with stock exchanges, depositories, and RTA;
Ø Handling Postal Ballots and AGM for listed companies;
Ø Close co-ordination with accounts, finance and other departments on various activities;
Ø Managing corporate actions, viz (Issue and allotment of shares (preferential / rights / Bonus/ ESOPs), dividends etc., as applicable
Ø Ensuring overall compliance with the application laws
Ø Assisting and preparing requisite papers (agenda/ minutes/ other supplementary documents) for the Board, Committees and General Meetings of the Company and its group companies;
Ø Handling routine and event-based ROC filings (AOC-4, MGT-7/7A, PAS-3, DIR-12, SH-7, etc.);
Ø Maintenance of statutory registers and records;
Ø RBI/FEMA Compliances related to issues of shares to Private Equity Funds, Joint Venture Partners on Private Placement/Preferential Allotments Basis;
Ø Secretarial Audit and interacting / dealing with the auditors for timely completion of audits;
Ø Drafting and vetting of Non – Disclosure Agreements, Power of Attorneys, Authority Letters;
Ø Drafting and vetting of Lease Deeds, Leave & License Agreements, Inter- company Loan Agreements;
Ø Preparing Consultancy Agreement, Retainer-ship Agreement;
Ø Assisting on Corporate Structuring, Mergers & Acquisitions;
Work Experience
- Key Skills & Competencies
Ø Strong knowledge of Companies Act, 2013 & SEBI LODR/ PIT regulations
Ø Present experience with listed company disclosures and governance
Ø Good communication and drafting skills
Ø Strong coordination and stakeholder management abilities
Ø Ability to work independently and handle multiple priorities
Ø Team management
Work Experience: 15-20 years (present Listed Company exposure mandatory)- Qualification: Member of ICSI and LLB (preferred)
