About the Role
The Legal Manager will manage all legal matters related to land transactions, development projects, and corporate compliance across the group's real estate, construction, and land deal businesses — from land due diligence and contract drafting/negotiation to regulatory compliance, dispute resolution, and protecting the company's legal interests.
Key Responsibilities
Land Transactions & Deals
- Conduct thorough title due diligence of agricultural, converted, and urban lands
- Review and verify RTC, mutation records, encumbrance certificates, khata, PTCL, tenancy, and other critical land documents
- Draft and review Sale Deeds, Agreements to Sell, Development Agreements, JDAs, POAs, MOUs, Lease Deeds, and Assignment Agreements
- Ensure land parcels are free from litigation, encumbrances, and third-party claims
- Liaise with revenue authorities, sub-registrar offices, and government departments for registrations, conversions, and clearances
- Structure Joint Development, Joint Venture, and Collaboration agreements for land acquisitions and partnerships
- Manage land aggregation, consolidation, and sale transactions for the group's land deals arm
Development Project Legal Support
- Draft, vet, and register Buyer Agreements, Allotment Letters, Conveyance Deeds, and Builder-Buyer contracts
- Ensure RERA registration, filings, and compliance for each project
- Handle legal documentation for project approvals, NOCs, and environmental clearances
- Draft and review construction contracts, consultancy agreements, and vendor agreements
- Provide legal input on marketing collaterals, brochures, and sales documents
Compliance & Regulatory
- Ensure compliance with RERA, BDA/BBMP/BMRDA regulations, Land Revenue Act, PTCL Act, Stamp Duty & Registration laws, Labour and Environmental laws
- Maintain updated records of licenses, permits, and statutory approvals
- Monitor legal/regulatory changes affecting land and real estate development, and advise management accordingly
Corporate & Land Deal Structuring
- Advise on SPV formation, land-holding structures, and JV models for acquisitions and developments
- Review loan/mortgage documentation with banks and financial institutions
- Draft shareholders' agreements, partnership deeds, and investment contracts where required
- Support corporate compliance across ROC filings, company law, and group-level legal obligations
Dispute Resolution
- Handle litigation, arbitration, consumer cases, and land disputes
- Manage claims/disputes with landowners, buyers, vendors, and contractors
- Liaise with external advocates for civil, revenue, and criminal proceedings related to land and property
Advisory & Internal Support
- Provide day-to-day legal guidance to management and project teams
- Support land acquisition, business development, and sales teams with legal documentation and clarifications
- Train internal teams on basic legal processes, risk awareness, and compliance obligations
Key Skills & Competencies
- Strong knowledge of property laws, land revenue laws, real estate regulations, RERA, and the Companies Act
- Expertise in land due diligence, drafting agreements, and negotiations
- Familiarity with Karnataka land laws (PTCL, SC/ST, tenancy, conversion, agriculture-to-non-agriculture use, etc.)
- Litigation management and ability to coordinate with external counsels
- High attention to detail and strong communication skills
Qualifications & Experience
- Bachelor's / Master's degree in Law (LLB/LLM)
- 5–10 years of experience in real estate & land law
- Prior experience with real estate developers, land aggregators, or law firms specializing in property law
- Deep understanding of land documentation and state-specific laws in Karnataka
Pay: ₹50,000.00 - ₹75,000.00 per month
