ob Summary
We are looking for a responsible and detail-oriented Company Secretary to manage statutory compliance, corporate governance, legal documentation, and regulatory filings. The candidate will work closely with the management and ensure that the company complies with applicable provisions of the Companies Act and other relevant regulations.
Key Responsibilities
- Manage and ensure timely ROC/MCA statutory filings and compliance.
- Maintain statutory registers, records, minutes, and corporate documents.
- Prepare notices, agendas, minutes, resolutions, and other documents for Board and General Meetings.
- Assist in conducting Board Meetings, Annual General Meetings, and other corporate meetings.
- Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other applicable laws, wherever relevant.
- Handle incorporation, director-related changes, share transfers, allotments, and other corporate secretarial matters.
- Coordinate with auditors, legal advisors, consultants, and government authorities.
- Monitor statutory compliance calendars and ensure deadlines are met.
- Draft and review corporate agreements, resolutions, declarations, and official correspondence.
- Maintain proper documentation and ensure confidentiality of company information.
- Provide compliance updates and advice to management on corporate matters.
- Support legal and regulatory requirements related to the company's operations.
Requirements
- Qualified or Semi-Qualified Company Secretary (CS).
- 1–5 years of relevant experience in company secretarial/compliance activities.
- Strong knowledge of the Companies Act and MCA/ROC compliance.
- Good drafting, documentation, communication, and organizational skills.
- Proficiency in MS Office, especially Word and Excel.
- Ability to independently manage compliance deadlines and documentation.
- Strong attention to detail and confidentiality.
Preferred Skills
- MCA portal experience.
- Knowledge of corporate governance and statutory compliance.
- Experience working with private limited companies, LLPs, or startups.
- Good coordination skills with management, auditors, and external consultants.
Pay: ₹50,000.00 - ₹180,000.00 per month
