- Ensure compliance with the Companies Act, SEBI (LODR) Regulations, and other applicable laws.
- Organize and manage Board Meetings, Committee Meetings, and General Meetings, including drafting agendas, minutes, and resolutions.
- Handle timely filings with MCA, SEBI, NSE, and other regulatory bodies.
- Maintain all statutory records and registers as per company law requirements.
- Monitor changes in relevant legislation and regulatory environment and implement necessary actions.
- Draft and review Annual Reports, Directors Reports, and Secretarial Audit Reports.
- Manage investor relations, coordinate with RTA, and handle shareholder communications.
- Support IPO processes, M&A transactions, corporate restructuring, and due diligence.
- Ensure compliance under the Insolvency and Bankruptcy Code (IBC) where applicable.
- Provide general legal support and advisory for corporate matters.
- Liaise with internal and statutory auditors, legal advisors, and regulators.
- Implement and improve digital tools for compliance management and secretarial automation.
QUALIFICATIONS & SKILLS
· Qualified Company Secretary (Member of ICSI)
· Bachelor’s degree in Law, Commerce, or related field (LLB preferred)
· 2-3 years of experience mandatory for this position.
