Function: Corporate and Secretarial Compliances
Location: Bengaluru, India
Education: Individuals pursuing or recently completed their CS, eager to gain comprehensive exposure in corporate law, compliance, and governance can apply. Preference will be given to those who are CS Professional qualified or CS Professional Group1 qualified.
Exp Level: Nil;This is an excellent opportunity for aspiring CS professionals to grow within a law firm and learn how both legal and compliance work together.
Key Responsibilities:
The role, under direct supervision, involves handling company law advisory, statutory filings, board and shareholder meeting management and compliances, due diligence and maintaining statutory records on behalf of clients;
- Manage day-to-day corporate law matters, conduct board meetings, shareholders meetings, private placements, rights issues regulatory filings and compliance.
- Ensure adherence to corporate governance standards and regulatory frameworks.
- Handle FEMA Compliances.
- Handle mergers, acquisitions, and due diligence activities.
- Handle various matters before regulatory authorities such as NCLT, RDs, ROCs, RBI, SEBI, and other statutory bodies.
- Maintain secretarial records, board meeting documentation, and statutory filings.
- Manage end to end process of company incorporations, including name approval, document preparation, and registration with the Registrar of Companies.
- Ensure proper maintenance of statutory registers including register of members, directors, key managerial personnel, and related party transactions etc.
- Advise companies on CSR rules and help them meet reporting requirements.
- Ensure compliance with secretarial standards issued by the Institute of Company Secretaries of India (ICSI).
- Serve as the primary point of contact for clients, and guide clients on good governance, legal compliance, and regulatory matters.
- Conduct legal research on Indian statutes, case law, and regulatory updates to resolve client issues effectively.
Pay: ₹18,000.00 - ₹20,000.00 per month
