About the Role
We are looking for a driven and detail-oriented Senior Associate – Transaction Advisory to join our growing advisory practice in Gurugram. This role is ideal for a finance professional who wants to work closely on high-impact transactions, including due diligence, valuations, M&A advisory, deal structuring, IPO readiness, internal controls, and corporate finance assignments.
As part of the Transaction Advisory team, you will support the execution of large and mid-market engagements, collaborate with senior professionals, and deliver insightful, client-focused solutions. The role offers strong exposure to complex business situations, investor interactions, transaction documentation, and strategic decision-making, creating a clear pathway for professional growth within the advisory domain.
Key Responsibilities
- Support end-to-end execution of transaction advisory engagements, including financial due diligence, valuation, M&A advisory, deal structuring, and IPO readiness assignments.
- Analyze historical and projected financial statements to identify key business drivers, risks, opportunities, and transaction implications.
- Review and build valuation models, financial models, and transaction-related analyses.
- Conduct internal control assessments across key client processes and evaluate the effectiveness of financial and operational controls.
- Assist in preparing due diligence reports, transaction summaries, investor presentations, pitch decks, and management discussion materials.
- Work closely with managers and senior leadership on client deliverables, engagement planning, and transaction execution.
- Support advisory mandates across SMEs, private equity, venture capital, IPO-linked diligence, REITs, InvITs, and other corporate finance assignments, where applicable.
- Contribute to the development of high-quality client insights, recommendations, and value-driven solutions.
Candidate Profile
- Chartered Accountant with 3–6 years of relevant experience in transaction advisory, due diligence, internal control assessment, valuation, corporate finance, or related advisory roles.
- Strong understanding of financial statements, accounting standards, corporate laws, regulatory frameworks, and corporate finance principles.
- Practical exposure to M&A transactions, financial due diligence, valuation, deal structuring, and transaction support.
- Experience in SME deals, PE/VC transactions, IPO-linked diligence, REITs, or InvITs will be an added advantage.
- Hands-on experience in internal control reviews, process assessments, and financial analysis.
- Proficiency in Microsoft Excel, PowerPoint, financial modelling, and presentation development.
- Working knowledge of Ind AS and IFRS is preferred.
- Strong analytical thinking, problem-solving ability, attention to detail, and business writing skills.
- Confident communication and presentation skills with the ability to work effectively with clients, senior stakeholders, and cross-functional teams.
