What we need:
Reporting to Head – Legal and Secretarial, this role will require the candidate to primarily handle secretarial and legal matters of the Company (which includes any future subsidiaries of the Company) for international subsidiaries in the APAC Region and support on India compliances as well as work closely with stakeholders and functions including operations, commercial, finance, HR, shareholder representatives, vendors, and service providers, etc. on multiple matters. This role will be based in BKC, Mumbai.
Key responsibilities:
CORPORATE AND SECRETARIAL (International excluding India)
- Handling Corporate Secretarial Compliances of International entities spread across Singapore, Hong Kong, Malaysia, Japan, Philippines, Korea, Thailand.
- Drafting of Board/ shareholder agenda papers, resolutions.
- Support during the conduct of the Board/Committee and shareholder meetings.
- Coordination with the other functions and auditors during statutory audits
SUPPORT CORPORATE AND SECRETARIAL (India)
- Ensuring compliance with corporate laws like Companies Act/ FEMA/ etc. including FCGPR Filing, FCTRS filing, FLA filings etc.
- Adhere to all secretarial compliance as per MCA & RBI requirements.
- Closely work with PCS, RTA and NSDL to make application for procuring ISIN for allotment of securities and ability to close corporate actions for allotted securities.
- Ensuring compliance with Companies Act 2013 and FEMA pertaining to issuance of securities on private placement and rights basis
- Assist in completing secretarial audit of the company.
- Perform all activities to ensure Governance and compliance under Shareholders’ Agreement.
LEGAL
- Contract Manager handling repository of all contracts executed by the Company
- Draft, review and negotiate contracts including vendors contracts, OEM agreements, NDAs, engagement letters, and various service agreements and other legal documents.
- Coordinate with project managers and other departments to ensure smooth contract execution.
- Manage legal documentation and maintain proper contract records.
- Collaborate with external legal counsel wherever engaged to meet various business requirements.
- Ensure contracts meet organizational standards and compliance requirements.
- Assist in conducting legal due diligence for new projects, expansion, and activities pertaining to fund raise.
- Preparing MIS for all legal contracts of the company.
Actively champion and implement the organization’s policies on health & safety, environment, energy, quality, information security, and business continuity, ensuring adherence to incident reporting, legal, and regulatory requirements.
The successful candidate:
- An associate member of the Institute of Company Secretaries of India & Qualified law graduate.
- 4-5 years of experience in handling legal and secretarial matters.
- Expert in SharePoint/Microsoft Excel/Word/PowerPoint
- Should have handled Contract Management Software; working knowledge of SFDC would be an added advantage.
- Proficient in subject matter knowledge and practical experience.
- Good verbal & written communication.
- Expertise in drafting contractual agreements and eye for detailing.
- Good negotiation skills with third parties on legal contracts and other documents.
- Good interpersonal skills with ability to engage with various stakeholders.
Competent to keep abreast with the emerging trends in laws.
