About the Role
Maverick Simulation Solutions Limited is seeking a Semi-Qualified Company Secretary with strong legal drafting and documentation skills to support corporate governance, regulatory compliance, legal documentation, fundraising initiatives, and IPO-related activities. This role is ideal for professionals looking to build expertise at the intersection of corporate law, secretarial practice, and strategic transactions.
Eligibility Criteria
- Cleared at least two groups of the CS Professional Programme conducted by the Institute of Company Secretaries of India (ICSI).
- Candidates awaiting results of one Professional Programme group may also be considered.
- 2-3 year of relevant experience, excluding articleship, internship, or practical training.
- Candidates pursuing or having completed LL.B. will be strongly preferred, particularly those with experience or interest in legal drafting, contract review, and corporate documentation.
Key Responsibilities Corporate & Secretarial Compliances
- Ensure compliance with the Companies Act, 2013, applicable rules, and Secretarial Standards (SS-1 & SS-2).
- Prepare and file statutory forms, returns, disclosures, and reports with MCA, ROC, and other regulatory authorities.
- Maintain statutory registers, records, minutes books, and corporate documentation.
- Draft notices, agendas, resolutions, minutes, and supporting documents for Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Manage compliances applicable to Unlisted Public Companies and support corporate governance initiatives.
IPO, Fundraising & Capital Market Activities
- Assist in IPO-related activities, regulatory filings, documentation, and compliance requirements.
- Support preparation and review of DRHP, RHP, Prospectus, and other offer-related documents.
- Coordinate with merchant bankers, legal advisors, auditors, registrars, depositories, and other intermediaries.
- Assist in fundraising transactions, capital restructuring exercises, and investor-related matters.
- Support pre-listing and post-listing compliance requirements.
Regulatory Compliances
- Handle FEMA filings and related regulatory compliances.
- Assist in regulatory reporting and disclosure requirements.
Legal Documentation & Contract Management
- Draft, review, and maintain corporate and commercial agreements, including: Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), Vendor Agreements, Non-Disclosure Agreements (NDA), Loan Agreements , Other corporate and business contracts
- Ensure proper documentation, execution, and record maintenance of agreements.
Strategic Transactions & Compliance Support
- Assist in Merger & Acquisition (M&A) transactions, due diligence exercises, and related regulatory filings.
- Support labour law compliance activities and coordination with internal stakeholders.
- Assist in secretarial, statutory, and internal audits.
- Liaise with auditors, consultants, legal advisors, regulatory authorities, and internal departments to ensure timely compliance and accurate documentation.
