About the Role
We are looking for an experienced and business-oriented Legal Counsel to join our team. The ideal candidate will provide end-to-end legal support across the organization, ensuring legal compliance, minimizing business risks, and supporting strategic decision-making.
This role requires expertise in corporate, commercial, employment, real estate, data privacy, and regulatory laws, along with strong drafting, negotiation, and stakeholder management skills.
Key Responsibilities
1. Commercial & Corporate Agreements
Draft, review, negotiate, and execute a wide range of commercial agreements, including:
- Letter of Intent (LOI) for lease transactions
- Commercial lease agreements
- Memorandum of Understanding (MoU) between investors and the company
- Vendor and supplier agreements
- Service agreements
- Loan agreements
- Non-Disclosure Agreements (NDAs) and Confidentiality Agreements
- Travel trade agreements with partners such as BookMyShow, District, and other business partners
2. Corporate Structuring & Governance
- Draft and manage Shareholder Agreements (SHA) and Share Subscription Agreements (SSA)
- Prepare Board Resolutions and Minutes of Meetings
- Coordinate with the Company Secretary on statutory filings and corporate compliance
- Ensure compliance with applicable corporate governance requirements
3. Labour & Employment Law
- Develop and update labour law-compliant HR policies
- Draft and review employment contracts and employee agreements
- Advise HR and leadership on employment-related legal matters
- Ensure compliance with applicable labour and employment laws
4. Real Estate & Land Due Diligence
- Conduct legal due diligence for properties identified for new centres
- Verify title documents and ownership records
- Review regulatory approvals and statutory clearances
- Identify and mitigate lease-related legal risks
5. Industry-Specific Compliance
- Ensure compliance with all applicable Central, State, and Local laws
- Monitor legal requirements relevant to Family Entertainment Centres (FEC)
- Advise business teams on operational and regulatory compliance
6. Legal Notices & Dispute Management
Prepare, review, and respond to:
- Customer complaints and legal notices
- Vendor disputes
- Employee-related legal matters
- Third-party claims
- Regulatory notices
Coordinate with external legal counsel whenever required.
7. Data Privacy & Website Compliance
Draft, review, and maintain:
- Privacy Policies
- Data Protection Policies
- Cookie Policies
- Website Terms of Use
- Refund and Cancellation Policies
- Membership Terms & Conditions
- Waivers and Consent Forms
- Safety Signages and Operational Notices for business centres
8. Cross-Functional Legal Support
Partner closely with:
- Finance
- Human Resources
- Business Development
- Operations
- Technology
- External Legal Advisors
- Auditors
- Landlords
- Regulatory Authorities
Provide practical legal advice to support business initiatives while effectively managing legal risks.
9. Compliance & Risk Management
- Monitor changes in corporate, commercial, labour, consumer protection, company, privacy, and other applicable laws
- Assess legal risks associated with business operations
- Ensure legal compliance across all operating locations
- Recommend proactive measures to minimize legal exposure
Qualifications
- Bachelor's Degree in Law (LL.B.) is mandatory
- Master's Degree in Law (LL.M.) is preferred
- 5–10 years of experience in Corporate, Commercial, or In-house Legal roles
- Enrolment with the Bar Council is preferred

Pay: ₹600,000.00 - ₹900,000.00 per year
