Job Title: Company Secretary (Qualified CS) Experience: 1–3 Years Qualification: Qualified Company Secretary (Member of ICSI) Location: Chennai Department: Finance & Compliance Job Summary We are looking for a qualified and proactive Company Secretary (CS) to manage the Company's secretarial, corporate governance, and statutory compliance functions. The candidate will be responsible for ensuring end-to-end compliance with the Companies Act, 2013, ROC filings, secretarial audits, board processes, and other applicable corporate laws. The ideal candidate should possess strong knowledge of legal and regulatory compliances and be capable of independently handling all company secretarial matters. Key Responsibilities - Handle end-to-end secretarial compliance under the Companies Act, 2013 and applicable rules. - Prepare, convene, and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). - Draft and maintain agendas, notices, board resolutions, minutes, and statutory registers. - Ensure timely filing of all ROC forms, annual returns, financial statements, and other statutory documents with the Registrar of Companies (ROC). - Ensure compliance with Secretarial Standards (SS-1 & SS-2) issued by ICSI. - Coordinate with statutory auditors, secretarial auditors, internal auditors, legal consultants, and regulatory authorities. - Maintain all statutory records, registers, and corporate documents as per legal requirements. - Monitor changes in corporate laws and advise management on regulatory updates and compliance requirements. - Handle Director-related compliances including DIN, DSC, KYC, appointments, resignations, and disclosures. - Manage share capital-related matters including issue, transfer, allotment, and other secretarial documentation, wherever applicable. - Assist in drafting legal agreements, corporate policies, and governance documents. - Ensure compliance with FEMA, RBI, MSME, and other applicable corporate regulations, wherever relevant. - Coordinate with banks, consultants, and government authorities for statutory and regulatory matters. - Support due diligence activities, corporate restructuring, mergers, acquisitions, or other corporate actions, if required. - Prepare compliance calendars and ensure timely completion of all statutory obligations. - Handle end-to-end corporate compliance activities and provide timely MIS/compliance status reports to management. - Perform any other secretarial, legal, or compliance-related responsibilities assigned by the management. Eligibility Criteria - Qualified Company Secretary (Associate Member of ICSI). - 1–3 years of post-qualification experience in handling company secretarial and compliance functions. - Strong knowledge of the Companies Act, 2013, Secretarial Standards, ROC procedures, and corporate governance. - Experience in MCA portal filings and compliance management. - Working knowledge of FEMA, RBI regulations, and other corporate laws will be an added advantage. - Good drafting, communication, and documentation skills. - Proficiency in MS Office and compliance management tools. Preferred Skills - Strong analytical and problem-solving abilities. - High level of integrity and attention to detail. - Ability to manage multiple compliance deadlines. - Good interpersonal and stakeholder management skills. - Ability to work independently with minimal supervision. - Excellent organisational and time management skills.
