Key Responsibilities
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws.
- Organize and conduct board meetings, committee meetings, annual general meetings, and extraordinary general meetings.
- Prepare agendas, notices, resolutions, minutes, attendance registers, and other statutory documents.
- Maintain statutory registers, records, and corporate documents of the company and its group entities.
- Handle ROC filings, including annual returns, financial statement filings, director-related forms, charge-related forms, and event-based compliances.
- Draft Board Resolutions, Power of Attorney documents, authority letters, declarations, undertakings, and corporate approvals.
- Ensure timely compliance with RERA, FEMA, RBI, SEBI, and other regulatory requirements, wherever applicable.
- Coordinate with directors, auditors, legal advisors, consultants, bankers, and government authorities.
- Assist in incorporation, alteration, restructuring, merger, acquisition, transfer of shares, and closure of companies.
- Review and support the execution of land agreements, lease deeds, development agreements, joint venture agreements, and other real estate documents.
- Monitor compliance requirements for subsidiaries, associate companies, and special-purpose vehicles.
- Advise management on corporate governance, legal risks, and statutory obligations.
- Maintain records of related-party transactions, loans, investments, guarantees, and contracts.
- Support due diligence, legal documentation, and regulatory approvals for real estate projects.
- Ensure proper documentation and timely renewal of licenses, registrations, and statutory approvals.
- Liaise with MCA, ROC, RERA authorities, financial institutions, and other government departments.
Required Skills
- Strong knowledge of the Companies Act, 2013 and Secretarial Standards.
- Understanding of RERA and laws applicable to real estate companies.
- Knowledge of FEMA, RBI, SEBI, LLP Act, and corporate restructuring.
- Excellent drafting, documentation, and compliance-management skills.
- Ability to handle multiple group companies and statutory deadlines.
- Strong communication, coordination, and analytical abilities.
- Proficiency in MS Office and MCA/ROC filing portals.
- High level of integrity, confidentiality, and attention to detail.
Pay: ₹25,000.00 - ₹40,000.00 per month
