Role Purpose
We are looking for a hands-on Legal & Compliance professional who can take ownership of matters rather than only coordinate documentation. The ideal candidate should be comfortable independently following up on legal and compliance matters, interacting with advocates and authorities, identifying compliance gaps and ensuring timely closure of action items.
Key Responsibilities
1. Legal & Corporate Matters
- Draft, review and maintain agreements, contracts, NDAs, service agreements, vendor agreements, employment-related legal documents, undertakings and other business documents.
- Review contractual terms and highlight legal, commercial and compliance risks to Management.
- Maintain proper records of executed agreements, legal documents, notices, correspondence and case-related documentation.
- Coordinate with external advocates/legal consultants on ongoing legal matters.
- Track legal cases, hearings, notices and action points and ensure timely follow-up and closure.
- Assist Management in handling legal queries, disputes and other business-related legal matters.
2. Statutory & Regulatory Compliance
- Maintain a comprehensive compliance calendar and ensure timely completion of applicable statutory requirements, filings, registrations and renewals.
- Ensure mandatory statutory notices, abstracts and displays are maintained wherever applicable.
- Track changes in applicable laws and regulations and communicate their impact to relevant stakeholders.
3. Distributor / Direct-Selling Compliance
- Monitor compliance with the Company's Distributor Policies & Procedures and applicable direct-selling/consumer-protection requirements.
- Review distributor-related complaints, policy violations and escalations and coordinate appropriate action.
- Monitor issues relating to misleading advertisements, unauthorised product/medical claims, misuse of Company name/trademark, social-media violations and other non-compliant distributor activities.
- Draft warning letters, show-cause notices, policy communications, undertakings and other compliance correspondence.
- Support the review and maintenance of distributor agreements, KYC documentation and related compliance processes.
- Coordinate internally for investigation and closure of distributor compliance cases.
4. Consumer & Regulatory Matters
- Support the handling of consumer complaints, legal notices and matters before consumer forums or other authorities.
- Coordinate responses to notices or queries received from government departments, regulators or statutory authorities.
- Ensure responses and supporting documents are prepared accurately and submitted within prescribed timelines.
- Maintain a tracker for regulatory notices, consumer matters and other legal escalations.
5. Contracts & Documentation
- Draft and review commercial agreements and legal documents before execution.
- Maintain a central contract repository with agreement validity, renewal and termination dates.
- Track expiry and renewal of contracts and alert relevant stakeholders in advance.
- Coordinate with departments to ensure contractual obligations and documentation requirements are complied with.
6. Litigation & External Counsel Coordination
- Coordinate with advocates and legal consultants for court cases, consumer matters and other legal proceedings.
- Prepare and provide case documents, factual information and supporting records required by counsel.
- Maintain an updated litigation tracker covering case status, hearing dates, next actions and responsible stakeholders.
- Attend hearings or visit government/regulatory offices whenever required.
- Follow up proactively with external counsel until matters are appropriately closed.
7. Compliance Monitoring & Risk Management
- Conduct periodic compliance reviews and identify gaps or potential areas of legal/regulatory risk.
- Maintain a Compliance Risk Register and follow up on corrective actions.
- Support internal and external compliance audits.
- Prepare periodic Legal & Compliance MIS/reports for Management.
- Escalate significant compliance failures, regulatory risks or potential legal exposure to Management promptly.
- Support development and updating of internal policies, SOPs and compliance checklists.
8. Cross-Functional Coordination
Candidate Profile
- 6–7 years of relevant experience in Legal, Corporate Compliance or a combined Legal & Compliance role.
- LL.B. is preferred, particularly for candidates expected to independently handle legal drafting, notices, contracts and litigation coordination.
- Strong working knowledge of Indian corporate, commercial, consumer and employment-related laws.
- Experience in drafting and reviewing agreements, legal notices and formal correspondence.
- Exposure to consumer matters, regulatory authorities and external counsel coordination..
- Experience in direct selling, consumer products, retail, FMCG, medical devices or a regulated business environment would be an advantage.
- Strong written and verbal communication skills.
- Good drafting, analytical and documentation skills.
- Strong attention to detail and ability to manage multiple deadlines independently.
- Proficiency in MS Office, particularly Word and Excel.
- Willingness to travel when required for legal matters, hearings, regulatory visits, audits or other compliance requirements.
