Position Overview: The Contract and Legal Specialist will be responsible for managing the end-to-end contract lifecycle, driving contract governance, legal risk management, and contractual compliance, across vendor and client engagements. This role requires strong analytical skills, attention to detail, and the ability to collaborate cross-functionally with Legal, Finance, Procurement, Risk, and Business teams.
Job Responsibilities:

Manage the end-to-end contract lifecycle, including drafting, reviewing, negotiating, and executing contracts such as client agreements, vendor agreements, service agreements, NDAs, and amendments.

Analyse contractual terms and conditions to ensure alignment with company policies, legal requirements, and business objectives.

Independently review and redline customer, vendor, partner, procurement, technology, SaaS, consulting, and confidentiality agreements, identifying legal, commercial, operational, financial, compliance, data privacy, and information security risks.

Identify, assess, and mitigate contractual risks, highlighting deviations from standard terms and recommending appropriate changes.

Develop, maintain, and regularly update a Contractual Risk Register, documenting key contractual risks, risk owners, mitigation actions, obligations, and status tracking

Collaborate with Legal, Procurement, Finance, Risk, and Business stakeholders to ensure contracts meet operational, financial, and compliance requirements.

Maintain and update the contract repository, ensuring proper version control, documentation accuracy, and audit readiness.

Track and monitor key contractual obligations, including SLAs, KPIs, deliverables, and critical milestones, ensuring timely compliance and performance.

Support contract negotiations by analysing commercial terms, pricing models, and benchmarking against internal standards and market practices.

Assist in contract renewal management, identifying upcoming expiries, evaluating contract performance, and supporting renegotiation or termination decisions.

Ensure proper flow-down of contractual terms into purchase orders, vendor communications, and related procurement documentation.

Conduct vendor due diligence and risk assessments, including financial, operational, and compliance evaluations.

Support audit and compliance activities, ensuring all contract and procurement documentation meets internal policies and regulatory standards.

Provide contractual guidance and interpretation to internal stakeholders to support effective decision-making.

Assist in resolving contract-related disputes, escalations, and performance issues in coordination with internal and external stakeholders.

Monitor compliance with data protection, confidentiality, and information security requirements within contractual arrangements.

Own the development, standardization, maintenance, and continuous improvement of contract templates, clause libraries, negotiation playbooks, approval matrices, and governance frameworks.

Continuously monitor internal business requirements, legal developments, regulatory changes, industry standards, customer expectations, and market practices, and proactively recommend updates to contract templates, standard clauses, and contracting processes.

Establish and maintain contractual governance processes, including contract review workflows, approval mechanisms, escalation procedures, and exception management controls.

Prepare reports and insights on contract utilization, compliance status, cost savings, and vendor performance.

Develop and maintain contract metrics and dashboards to provide visibility into contractual commitments, key risks, deviations from standard terms, and overall contract portfolio health.

Bachelor’s degree in Law, Business Administration, Finance, or a related field.

3 to 6 years of professional experience in contract management, procurement, or a related function.

Strong understanding of contractual terms, legal concepts, and risk management principles.
- Demonstrated experience reviewing and negotiating customer and vendor contracts, including NDAs, MSAs, SaaS agreements, service agreements, procurement agreements, and statements of work.

Experience working with cross-functional stakeholders in a corporate environment.

Good knowledge of procurement processes and vendor management practices.

Experience maintaining contract repositories, contract management systems (CLM), contractual obligation tracking, and risk registers
- Proficiency in Excel and contract/procurement management tools is an added advantage.

Ability to identify emerging contractual risks and proactively recommend changes to templates, clauses, and governance processes based on evolving business, legal, regulatory, and commercial requirements.
