Position Summary
We are seeking a highly competent and proactive Legal Manager to lead and manage all legal, regulatory, and compliance matters for the company. The role involves overseeing corporate governance, contract management, regulatory filings, dispute resolution, and ensuring adherence to applicable laws and industry standards. The Legal Manager will work closely with senior leadership and cross-functional teams to mitigate risks and safeguard the company’s interests.
Key Responsibilities
1. Legal Advisory & Risk Management

Provide strategic legal advice to management on business operations, policies, and risk mitigation.

Identify potential legal risks and develop preventive strategies.

Draft, review, and vet legal documents including agreements, MOUs, vendor contracts, partnership agreements, NDAs, employment contracts, and service agreements.
2. Regulatory & Statutory Compliance

Ensure compliance with Companies Act, corporate governance requirements, and other applicable central and state laws.

Liaise with regulatory authorities and external counsel as required.

Oversee statutory filings and documentation with government bodies.

Monitor changes in laws and regulations impacting rural commerce and retail operations.
3. Contract Management

Create standardized contract templates for vendors, distributors, suppliers, and partners.

Review commercial contracts to ensure favorable and legally compliant terms.

Manage contract lifecycle including renewals and amendments.
4. Litigation & Dispute Resolution
-
Handle litigation matters, notices, and legal disputes.

Coordinate with external advocates and represent the company in legal proceedings where required.

Draft legal responses, replies to notices, and settlement agreements.
5. Corporate Governance

Assist in board matters, resolutions, and maintenance of statutory registers.

Ensure corporate documentation and records are maintained in compliance with statutory norms.

Support internal audits and compliance reviews.
6. Policy Development

Develop and update internal legal policies, SOPs, and compliance frameworks.

Conduct internal training sessions on legal awareness and compliance.
Qualifications & Experience
-
Bachelor’s Degree in Law (LLB); LLM preferred.
-
Minimum 2-4 years of relevant experience in corporate legal management.

Experience in FMCG, rural commerce, retail, agri-business, or supply chain sectors preferred.

Strong understanding of corporate laws, contract law, labor law, and commercial regulations.

Proven experience handling litigation and regulatory matters.

Excellent drafting, negotiation, and communication skills.
