Job Title: Company Secretary – IPO & Compliance

Job Summary:
We are seeking an experienced and qualified Company Secretary (CS) with 5+ years of experience in secretarial compliance, corporate governance, IPO process, and regulatory matters. The candidate will be responsible for managing corporate compliances, board procedures, SEBI/listing regulations, and coordination with regulatory authorities and external stakeholders.
Key Responsibilities:
Secretarial & Corporate Compliance
- Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable corporate laws.
- Prepare notices, agendas, resolutions, and minutes for Board Meetings, Committee Meetings, and Annual General Meetings.
- Maintain statutory registers, records, and secretarial documents.
- Handle ROC filings, annual filings, and other statutory submissions within timelines.
- Monitor compliance calendar and ensure timely completion of all secretarial activities.
IPO & Listing Compliance
- Manage and coordinate IPO-related activities, documentation, and due diligence processes.
- Liaise with merchant bankers, legal advisors, auditors, registrars, and regulatory authorities.
- Ensure compliance with SEBI regulations and stock exchange listing requirements.
- Support preparation and review of offer documents, disclosures, and corporate filings.
- Handle post-listing compliances and investor-related coordination.
Corporate Governance & Legal Coordination
- Advise management on corporate governance practices and regulatory updates.
- Draft and review corporate policies, resolutions, agreements, and compliance documents.
- Coordinate with internal departments for legal and compliance requirements.
- Ensure proper documentation and maintenance of confidential records.
Stakeholder Management
- Coordinate with shareholders, investors, auditors, consultants, and government authorities.
- Assist senior management in strategic compliance and governance matters.
Requirements:
- Qualified Company Secretary (CS) from ICSI.
- 5+ years of experience in corporate secretarial and compliance functions.
- Experience in IPO process and listing compliances is mandatory/preferred.
- Strong knowledge of Companies Act, SEBI regulations, corporate governance, and regulatory filings.
- Excellent drafting, communication, and coordination skills.
- Proficiency in MS Office and compliance management.
