Job Description:

Job Purpose

Responsible for timely and accurate regulatory filings, including quarterly stock exchange compliances, commercial paper issuances, and insider trading regulations. The role also involves managing the Structured Digital Database, overseeing ESOS-related processes, and contributing to the preparation of the Annual Report in line with statutory requirements.

Job Context & Major Challenges

Job Context: UltraTech Cement Limited is the largest cement company by sales volume (excluding China) and the second largest cement company globally by capacity (ex-China). A USD 8.9 billion building solutions company, UltraTech’s existing grey cement capacity is 192.26 MTPA and white cement / putty capacity of 2.7 MTPA. With the recent announcement of an investment of Rs 10,255 crores to expand its cement production capacity by 22.8 mtpa, which is expected to go fully on stream in a phased manner, starting from FY28, will catapult UltraTech’s cement capacity to 240.76 mtpa globally.

KRA1

Employee Stock Option Scheme (ESOSs)

Key Action:

Accurate allotment and transfer of shares to employees' demat accounts must be ensured through diligent verification and coordination.

Supporting actions:

To process applications received from option grantee for exercise of stock option / RSUs under ESOS – 2013, 2018 and 2022 scheme and acknowledging the receipt of application and tax amounts.
Intimating regarding the exercise of stock options / RSUs to the payroll team.
Preparing papers for corporate actions on NSDL and CDSL and executing the same for ESOS- 2013,2018 and 2022 scheme, Listing of such ESOPS on BSE and NSE and executing the same
Updating the register maintained for each ESOP scheme.
Quarterly updating and checking the lapse data of employees who have been transferred, resigned, retirement etc.

KRA2

Quarterly, Annually and Event based compliances.

Key Action:

Filing with stock exchange.

To file all the quarterly, half-yearly, annually and event based compliances with stock exchanges within stipulated time period.

Supporting actions:

1. Gathering of required information.

2. Ensure timely and accurate filing of all quarterly, half-yearly, annual, and event-based compliances with the stock exchanges, in accordance with applicable regulatory requirements

KRA3

Issuance of Commercial Paper (CP)

Key Action:

Prepare, share, and ensure timely submission of all necessary documents related to the issuance, listing, and compliance of Commercial Papers with stock exchanges, in coordination with relevant departments.

Supporting actions:

Assisting in preparation of documents for CP on EBP platform.
Preparation of documents for activation of ISIN on CDSL.
Preparation of documents for the corporate action on NSDL platform and approving the same.
Preparing the documents for listing of CPs on NSE and listing of the same.

KRA4

Compliances under SEBI (Prohibition and Insider Trading) Regulations, 2015 and Structured Digital Database (SDD)

Key Action:

Maintaining, Tracking and monitoring of compliances under SEBI (Prohibition and Insider Trading) Regulations, 2015.

Structured Digital Database in terms of Insider trading Regulations

Supporting actions

Tracking if the employees have dealt in the shares of the company during the shut period or undertaking contra trades and assisting in the process of levying penalties for the same.
Issuing a weekly report on the trades executed by all the designated persons and informing them for not undertaking contra trades.

Updating the designated person's details to Fintraks and NSDL platform.

Assisting in sending welcome emails to the new employees.

Digitization of documents

Categorizations and update of documents on the server system.
