Job Summary
The Manager – Legal will serve as a strategic business partner supporting Darwinbox’s rapidly expanding India operations. This role owns the end-to-end commercial contracting lifecycle, with primary responsibility for drafting, negotiating, and closing complex customer, partner, and vendor agreements in a fast-paced SaaS environment.
Operating at the intersection of legal risk management and business velocity, the role requires strong judgment, commercial acumen, and hands-on execution capability. The successful candidate will build and maintain a robust, scalable contract governance framework, ensure compliance with applicable Indian laws (including data privacy under the Digital Personal Data Protection Act, 2023), as well as relevant global privacy frameworks such as GDPR where contracts involve Darwinbox’s international customers, and proactively enable sales and growth teams to close deals efficiently while protecting Darwinbox’s legal and commercial interests. The role is best suited for a legal professional with 5–10 years of post-qualification experience supporting technology or SaaS businesses with substantial exposure to Indian commercial contracts.

Required Skills
- Strong proficiency in drafting, reviewing, and negotiating complex commercial agreements for technology and SaaS products
- Solid working knowledge of Indian corporate and commercial laws relevant to technology businesses
- Experience managing customer, vendor, channel partner, and procurement contracts across Indian markets
- Practical understanding of Indian regulatory and compliance requirements, including data privacy (Digital Personal Data Protection Act, 2023) and information security obligations, along with working familiarity with global privacy frameworks such as GDPR relevant to Darwinbox’s international customer base.
- Ability to identify, assess, and clearly articulate legal and commercial risks to business stakeholders
- Experience collaborating cross-functionally with sales, finance, procurement, and leadership teams
- Capability to manage multiple high-priority matters simultaneously in a high-growth, deadline-driven environment
- Strong attention to detail combined with a business-oriented, solution-focused mindset.
Responsibilities
- Own the drafting, review, negotiation, and closure of a wide range of commercial agreements, including customer contracts, MSAs, SaaS agreements, vendor contracts, and partner arrangements
- Act as a trusted legal advisor to sales and business teams, enabling faster deal turnaround while balancing risk, compliance, and commercial objectives
- Build, maintain, and continuously improve a centralized contract repository, including standardized templates, playbooks, and negotiation guidelines aligned with Darwinbox’s growth strategy
- Monitor and assess legal and regulatory obligations impacting India operations, proactively flagging risks and recommending mitigation strategies
- Ensure compliance with applicable Indian data privacy and data protection laws (including the Digital Personal Data Protection Act, 2023), as well as relevant global frameworks such as GDPR where contracts involve international customers, working closely with internal stakeholders to operationalize compliance requirements
- Lead contract negotiations on key terms such as liability, indemnity, intellectual property, confidentiality, and data protection
- Prepare clear, concise legal risk assessments and actionable recommendations to support informed business decision making
- Coordinate with external counsel on litigation, disputes, or specialized legal matters, ensuring cost efficiency and timely resolution
- Partner closely with internal teams across sales, procurement, finance, product, and leadership to support business expansion without increasing legal exposure
Qualifications
LLB — minimum qualification. LLM- preferred.
