Role Overview
We are looking for an experienced Manager / Senior Manager – Compliance & Secretarial to drive corporate governance, statutory compliance, and regulatory adherence across Primus Senior Living and its group entities. This role will be instrumental in ensuring seamless compliance with the Companies Act, RERA regulations, corporate governance requirements, and project-related statutory obligations as the organization expands across India.
The ideal candidate will be a qualified Company Secretary with strong exposure to the real estate sector and the ability to work closely with leadership, legal, finance, projects, and external regulatory authorities.
Key Responsibilities Corporate Secretarial Compliance
- Conduct and manage Board Meetings, Committee Meetings, AGM and EGM processes.
- Prepare Board Agendas, Notices, Resolutions, Minutes, and Directors’ Reports.
- Maintain statutory registers and corporate records.
- Ensure compliance with Companies Act, 2013 and Secretarial Standards.
- MCA & Regulatory Filings
- Ensure timely filing of AOC-4, MGT-7, ADT-1, PAS-6 and all event-based MCA filings.
- Manage incorporation, alteration, and closure of Companies and LLPs.
- Monitor statutory deadlines and maintain a comprehensive compliance calendar.
- Real Estate & RERA Compliance
- Ensure compliance with RERA requirements across all projects.
- Coordinate project registrations, regulatory filings, disclosures, and renewals.
- Track project approvals and liaise with regulatory authorities as required.
- Support project teams on compliance requirements throughout the project lifecycle.
- Governance & Risk Management
- Develop and strengthen compliance frameworks and governance practices.
- Conduct periodic compliance reviews and identify risk areas.
- Recommend corrective actions and ensure closure of compliance gaps.
- Monitor regulatory changes and advise management on business impact.
- Documentation & Legal Coordination
- Maintain a centralized repository of statutory licenses, approvals, and corporate records.
- Coordinate with legal counsels, auditors, consultants, and regulatory authorities.
- Support due diligence exercises, audits, and compliance certifications.
- Stakeholder Management
- Liaise with ROC, MCA, RERA Authorities, Auditors, Legal Advisors, and Government Departments.
- Provide periodic compliance updates to leadership.
- Support business expansion initiatives from a compliance and governance perspective.
Success Metrics for this Role
- 100% compliance with statutory and regulatory filing timelines.
- Zero penalties arising from non-compliance or delayed filings.
- Timely execution of Board Meetings, AGM, and governance processes.
- Successful management of RERA and project-related compliances.
- Audit readiness across all entities and projects.
- Strengthened compliance framework supporting Primus' growth plans.
Non-Negotiable Functional Skills
- Strong knowledge of the Companies Act, 2013 and Secretarial Standards.
- Hands-on experience in MCA filings, Board Governance, and Corporate Compliance.
- Exposure to RERA compliance and residential real estate regulations.
- Strong drafting skills for Board documentation and statutory records.
- Ability to manage multiple entities, projects, and compliance timelines.
- Excellent stakeholder management and regulatory liaison capabilities.
- High attention to detail with a strong risk management mindset.
Qualifications
- Qualified Company Secretary (ICSI) – Mandatory
- LLB preferred.
- Additional certification in Corporate Governance, Compliance, or Risk Management will be an advantage.
- 8–10 years of relevant experience, preferably in Real Estate, Residential Development, Construction, Hospitality Real Estate, or Senior Living.

Pay: ₹120,000.00 - ₹150,000.00 per year
