Principal — Investment Banking Practice
1. Role Purpose & Overview
The Principal of Investment Banking will be responsible for establishing, leading, and scaling the Investment Banking practice at Singhvi Corporate Services Pvt Ltd. This is a leadership role within a highly reputed financial advisory firm of Surat, trying to relaunch the IB vertical and requires a seasoned professional who can independently build deal pipelines, lead end-to-end transaction execution across M&A, PE/VC fundraises, debt syndication, and valuations, while also mentoring and growing an internal team.
The incumbent will function as the primary point of contact for all IB mandates and will work in close coordination with the Managing Partner to establish best-in-class advisory capabilities for mid-market and emerging companies across sectors.
2. Key Responsibilities
A. Business Development & Deal Origination
- Build and own the IB deal pipeline through proactive client outreach, referral networks, and industry connects.
- Originate mandates across fundraising (equity / debt), M&A advisory, structured finance, and business valuation.
- Develop relationships with PE/VC funds, family offices, HNIs, NBFCs, banks, and strategic investors.
- Represent the firm at investor forums, industry conferences, and sector-specific events.
- Prepare and present pitch materials to prospective clients and secure formal engagement mandates.
B. Transaction Execution
- Lead end-to-end execution of IB transactions including financial modelling, valuation, information memoranda (IM), and investor presentations.
- Structure deals and coordinate with legal, tax, and compliance teams for documentation and closure.
- Manage investor outreach processes, coordinate due diligence, and facilitate term sheet negotiations.
- Ensure quality control of all deliverables including valuation reports, pitch decks, MIS, and datarooms.
- Manage transaction timelines and client communication throughout the deal lifecycle.
C. Practice Building & Team Leadership
- Lead the IB team — hire, train, and mentor analysts and associates.
- Establish internal processes, templates, and standard operating procedures for the IB practice.
- Drive thought leadership through sector reports, investment notes, and market commentaries.
- Ensure the practice meets revenue targets and profitability benchmarks on a quarterly and annual basis.
D. Client Relationship Management
- Serve as the senior relationship manager for all IB clients and ensure high client satisfaction and repeat mandates.
- Provide strategic advisory inputs to clients on capital structure, growth strategy, and investor positioning.
- Ensure timely and quality delivery of all client deliverables and maintain strong post-deal relationships.
E. Compliance & Risk Management
- Ensure all IB activities comply with SEBI regulations, RBI guidelines, Companies Act, and applicable laws.
- Maintain appropriate confidentiality and conflict-of-interest protocols across mandates.
- Ensure all client engagements are covered by duly executed engagement letters and fee agreements.

5. Eligibility & Qualification Criteria
Minimum Qualifications
- CA / CFA / MBA (Finance) from a reputed institution — mandatory.
- Additional qualifications such as IBBI Registered Valuer, CPA, or LLB preferred.
- SEBI Registered Investment Advisor (RIA) or Research Analyst registration preferred but not mandatory.
Experience
- Minimum 6 years of total experience in Investment Banking, PE/VC Advisory, Corporate Finance, or related fields.
- Proven track record of independently closing at least 5–10 transactions (fundraises, M&A, structured deals).
- Prior experience working with mid-market or SME-focused advisory firms, Big 4, or boutique IB firms preferred.
- Experience in sectors such as Manufacturing, Consumer, Real Estate, FMCG, or Tech preferred.
Technical Skills
- Advanced financial modelling in Excel (DCF, LBO, Merger models, three-statement models).
- Proficiency in preparing Information Memoranda, Pitch Decks, Teasers, and CIMs.
- Working knowledge of SEBI Takeover Code, FEMA, Companies Act, Ind AS, and related regulations.
