Job Description
We are seeking a Governance Support Officer
Corporate Governance and Board Support:
- Assist in committing Board and General meetings for Holding and subsidiary companies.
- Draft agenda, minutes and resolutions and ensure timely filing with regulatory authorities for all the entities.
- Draft the board’s report and annexures and support in preparation of annual reports.
- Maintain statutory registers and records compliance and regulatory reporting.
- Handle filings with MCA and FEMA.
- Handle RBI compliance matters including FLA filings, FC-GPR and related foreign investment reporting.
- Manage foreign subsidiaries governance, cross-border compliance and reporting requirements.
- Support administration of ESOP/Sharebased benefit schemes.
- Track changes in law/regulations impacting the company and assist in compliance implementation.
- Manage Annual compliance requirements under the Companies Act, 2013.
- Maintain Secretarial records of the Company.
- Liaising & dealing with Statutory and Regulatory Authorities such as ROC, RBI, Labour Office, etc.
- Evaluate business activities to assess compliance risk.
- Coordinate with internal/external stakeholders on CSR, regulatory communication and other governance matters.
- Assess, review and develop framework, processes and policies.
Legal
- Draft and review Contracts/agreements related to employees, clients, vendors, Landlords and service providers.
- Assist with compliance related to Income tax requirements.
- Licenses and registrations with statutory authorities under various corporate, labour and industrial legislations.
- Able to contribute to any other ad-hoc legal requirements suggested by management.
Compliance
- Prepare and present period compliance reports and work closely with Finance ensuring accurate governance reporting.
- Assist with compliance related to Income tax requirements.
- Prepare/review/amendments to internal Policies in line with statutory requirements.
- Liaise with practicing Company Secretaries for certifications and advisory support.
Key Skills
- Well versed with the Corporate Laws, Labour Laws and Legal Drafting, RBI & FEMA compliance.
- Should keep abreast with the latest regulatory changes/ requirements and adhere to such requirements.
- Should possess good verbal and written communication skills.
- Interpersonal skills and the ability to work well with people at all levels.
- Proficiency in MCA and compliance tools.
- Ability to manage multiple stakeholders and timelines.
- Excellent drafting, communication and stakeholder management skills.
- Attention to detail and documentation rigor.
Educational Qualifications
Company Secretary (Qualified member of the Institute of Company Secretaries of India).
Experience of 2 to 3 years of post qualification experience.
Pay: ₹600,000.00 - ₹800,000.00 per year
