Job Summary
We are looking for a detail-oriented and compliance-focused Executive – Debenture Trustee Operations to manage transaction execution, regulatory compliance, documentation, and operational activities related to debenture trustee services. The ideal candidate should have experience in financial services, legal operations, trustee services, or debt capital market operations.
Key Responsibilities
- Prepare and maintain transaction summaries and monitor key transaction milestones.
- Coordinate with Legal, Compliance, Finance, and Operations teams for smooth transaction execution.
- Monitor interest payments and ensure compliance with SEBI regulations and transaction documents.
- Manage ERP entries, transaction documentation, payment schedules, and execution records.
- Coordinate execution of agreements with clients, trustees, POA holders, and authorized signatories.
- Process transaction-related invoices and maintain supporting documentation.
- Prepare and issue NOCs for property transfers, refinancing, charge satisfaction, and redemptions.
- Maintain custody records of executed documents and ensure proper archival.
- Handle share pledge and unpledge processes, including documentation and compliance.
- Update regulatory platforms such as CERSAI, NESL, ISIN MIS, and DLT.
- Support internal and external audits by providing transaction records and compliance documentation.
- Prepare MIS reports, compliance trackers, and operational dashboards.
- Maintain SOPs, process documentation, and workflow checklists.
- Coordinate with rating agencies, depositories, and other stakeholders for regulatory compliance.
- Track statutory filings and disclosures under SEBI, RBI, MCA, and other applicable regulations.
- Support client onboarding, including KYC/AML documentation and operational readiness.
- Liaise with clients for statutory disclosures, including BENPOS, QCR, HLY, and related regulatory documents.
- Escalate process deviations and ensure timely resolution within defined TATs.
Required Qualifications
- Bachelor's Degree in Commerce, Law, Finance, Business Administration, or a related field.
- 2–5 years of experience in Debenture Trustee Operations, Security Trustee, Legal Operations, Debt Capital Markets, NBFC, Banking, Financial Services, or Capital Markets.
- Working knowledge of SEBI regulations, Companies Act, CERSAI, NESL, ISIN, and DLT platforms.
- Experience with ERP systems and Microsoft Excel.
- Strong documentation, coordination, analytical, and communication skills.
- Ability to manage multiple transactions while maintaining accuracy and compliance.
Preferred Skills
- Knowledge of Debenture Trustee, Security Trustee, Escrow, Loan Documentation, Charge Creation, and Regulatory Compliance.
- Excellent attention to detail and document management.
- Strong stakeholder management and coordination skills.
