We are seeking a seasoned Contracts & Commercial Head to lead end-to-end contract administration, billing strategy, claims management, variation control, subcontract commercial management, and revenue protection across all our EPC/MEP projects. This is a critical senior leadership role demanding a commercially aggressive yet legally disciplined professional who can protect project margins, recover entitlements, and build robust commercial systems from the ground up.
The ideal candidate brings 12–20+ years of experience in contracts and commercial management within MEP/EPC or electrical infrastructure projects, with a proven track record in large-value billing, claim closures, and dispute prevention.
KEY ROLES & RESPONSIBILITIES
A. Contract Review & Risk Control
- Thoroughly review client LOIs, Work Orders, Agreements, POs, Subcontract Agreements, and Back-to-Back Contracts.
- Identify risky clauses: payment delay risks, penalty/LD clauses, retention terms, indemnity clauses, unlimited liability, defect liability exposure, hidden scope, delay attribution, and arbitration/jurisdiction issues.
- Prepare commercial and legal risk notes and submit to management with safer wording recommendations.
- Finalise contract deviations and negotiate safeguards before project commencement.
B. Commercial Strategy Before Project Award
- Review BOQ, scope, exclusions, commercial assumptions, and deviation sheets at tender/bid stage.
- Evaluate payment terms, milestone terms, taxation impact, risk loading, and margin protection.
- Assess company exposure from special conditions and ensure commercial clarity during bid-to-execution handover.
C. Post-Award Contract Administration
- Prepare detailed contract abstracts with full understanding of awarded contracts and brief project teams on key clauses.
- Maintain project-wise commercial trackers covering notice periods, obligations, submission timelines, insurance, BGs, approvals, and documentation deadlines.
- Ensure execution team operates strictly within contracted scope and obligations.
D. Billing, RA Bills & Final Bills Control
- Prepare and review RA bills, extra item bills, deviation bills, final bills, escalation claims, and reimbursement claims.
- Ensure correctness of measurement sheets, supporting documents, abstract sheets, and reconciliation documents.
- Drive follow-up on certification delays and prepare final bill settlement strategies.
- Maintain a systematic retention, SD, and BG release follow-up process.
E. Variation / Change Order Management
- Timely document all site changes, design changes, client instructions, quantity variations, extra scope, and omitted items.
- Drive the Variation Order / extra item approval process and build a documentation rescue system for approvals obtained verbally.
- Convert all change orders into monetised revenue through structured approval and billing.
F. Claims Management
- Build strong, well-documented claim files for: delay claims, idling claims, overhead claims, Extension of Time (EOT) claims, price variation/escalation claims, client-caused delay recoveries, withheld payment claims, and termination/suspension-related claims.
- Professionally present and justify claims before consultants and clients.
G. Subcontract & Vendor Commercial Management
- Draft, review, and negotiate subcontract work orders and agreements with clear rate analysis, scope definition, exclusions, penalties, payment linkage, and recovery clauses.
- Maintain back-to-back protection with client contracts throughout.
- Handle subcontractor claims, disputes, and non-performance cases through to commercial closure.
H. Cost Protection & Margin Control
- Track awarded value vs. executed value vs. billed value vs. certified value vs. collected value across all projects.
- Prevent margin leakage from scope creep and regularly review project gross margin protection.
- Identify unbilled revenue, uncertified bills, unapproved extra works, and pending claims and escalate to MD with alerts.
I. Coordination With Projects / Planning / Finance
- Conduct weekly commercial reviews with execution teams and link planning progress to billing entitlement.
- Reconcile receivables, invoices, taxation, debit notes, and deductions with the Finance team.
- Prepare data-backed commercial positions for client negotiations and discussions.
J. Dispute Prevention & Resolution Support
- Prepare correspondence strategy in dispute situations; issue contractual notices; preserve evidence documents.
- Prepare dispute summary notes for legal team and management.
- Provide commercial support for arbitration, mediation, court, and settlement discussions.
K. MIS, Dashboards & Commercial Systems
- Build and maintain a comprehensive project-wise contracts and commercial dashboard.
- Maintain key trackers: Contract Abstract Register, Billing Tracker, Client Certification Tracker, Variation Order Tracker, Claims Tracker, EOT Tracker, Retention/SD Release Tracker, Final Bill Closure Tracker, Subcontract Commercial Tracker, and Risk Register.
- Submit a monthly commercial review note to the MD.
REQUIRED SKILLS & COMPETENCIES
Technical & Functional Knowledge
- Strong knowledge of EPC/MEP/Electrical/Infrastructure contract structures and FIDIC/Indian EPC contracts.
- BOQ analysis, rate analysis, and quantity variation assessment expertise.
- Deep understanding of RA billing, final billing, WIP accounting, and cost-to-complete methodology.
- Hands-on experience in claims, counter-claims, delay analysis, and EOT basics.
- Proficiency in subcontract drafting, administration, and contractual correspondence.
- Understanding of tax/commercial implications in EPC contracts.
Behavioural & Leadership Skills
- Very strong negotiation ability with commercially aggressive yet legally safe approach.
- Ability to work with clarity under high-pressure project environments.
- Strong detail orientation, documentation discipline, and follow-up attitude.
- Maturity to control and guide project teams on commercial compliance.
- Conflict handling ability and strong management reporting capability.
QUALIFICATIONS & EXPERIENCE
Educational Qualifications
- B.Tech / B.E. in Electrical.
- PG / MBA in Contracts, Commercial, Finance, or Project Management (added advantage).
- LLB knowledge (added advantage). QS / Contracts specialisation certification (preferred).
Experience
- 12 to 20+ years of relevant experience; minimum 8+ years in Contracts & Commercial management.
- Exposure to MEP/EPC/Electrical/Infra/Industrial/High-rise/Data Centre/Real Estate projects.
- Team handling experience mandatory.
- Client-facing commercial negotiation experience mandatory.
- Large-value project billing, claim, and final account closure experience mandatory.
PREFERRED INDUSTRY EXPOSURE
- MEP EPC Projects and Electrical Infrastructure Projects.
- High-rise Residential / Commercial Buildings and IT Parks / Data Centres.
- Industrial Projects and Government EPC / Utility Projects.
- Underground Cabling / Substations / Power Distribution Projects.
PREFERRED SKILLS (ADDED ADVANTAGE)
- FIDIC contract exposure and knowledge of international EPC contract frameworks.
- Experience implementing contract management software or digital commercial tracking tools.
- Familiarity with construction-specific legal procedures and arbitration processes in India.
- Exposure to large developer ecosystems.
Pay: ₹500,000.00 - ₹1,200,000.00 per year
