Maintain all the statutory registers & records as per the Companies Act 2013.
Provide Director, members and auditors with notice of meetings.
Prepare resolutions and agreements for board approval and filing with the ROC, if required.
Submission of returns and forms, as required by the Act.
Preparing and keeping minutes of directors’ meetings and general meetings.
Custody and use of Common Seal of the company, digital signatures etc.
Receive notices, on behalf of the company, that are delivered at its registered office.
Conduct correspondence with members with regard to share capital and other related matters.
Ensure quarterly board meetings are conducted by preparing the agenda in time.
Ensure that the organization is conducting its business in accordance with applicable laws, rules and regulations, and follows highest standards of business ethics and ethical conduct as per the code of conduct.
Ensure compliance of all executed MOUs / Contracts / Agreements / tender documentation to applicable laws, company policies & procedures, and standard practices if any, prior to signing them.
Apply due diligence to ensure compliance of all ROC / Statutory issues by target companies joint venture companies etc.
Ensure that every department in the company follows policies & procedures as per the company’s Standard Operating Procedures and report any non-conformance to management during the monthly staff meeting of department heads and at quarterly board meetings.
Ensure advisory board meetings are conducted on bi annual basis and that the agenda and minutes of these meetings are prepared and documented.
Provide input for new business ventures, tender documentation, and equity restructuring etc., ensuring that the plans are financially viable.
On-going enhancement and execution of capital structure plan. Coordinating / liaising with Government Department / Auditors / Lawyers etc.
Responsible for DSC renewal, acting as custodian of DSC, and raising disputes with CIBIL, RBI, and other statutory authorities.
And any other responsibility that may be entrusted to you by the Management from time to time.
