Job Description – Company Secretary (CS) – NBFC (Legal & Litigation)
Position: Company Secretary – Legal & Compliance
Industry: NBFC / Financial Services
Qualification: Qualified Company Secretary (ICSI Member) (LLB preferred)
Experience: 5+ Years in NBFC, Banking, or Financial Services
Key Responsibilities:
Secretarial & Regulatory Compliance
- Ensure compliance with RBI guidelines, Companies Act, and other applicable regulations.
- Handle ROC/MCA filings, statutory records, and secretarial compliances.
- Conduct Board Meetings, prepare agendas, minutes, and resolutions.
- Draft and review agreements, legal documents, notices, and loan-related documents.
- Manage legal compliances, customer disputes, notices, and coordination with external legal consultants.
- maintain litigation records, and ensure timely follow-up.
- Manage recovery-related legal matters, SARFAESI proceedings, and other legal actions, wherever applicable.
- Identify legal and compliance risks and recommend mitigation measures.
Key Skills:
- Strong knowledge of RBI NBFC regulations, Companies Act, 2013, and corporate laws.
- Hands-on experience in litigation management, legal drafting, and contract management.
- Knowledge of SARFAESI, recovery matters, and lending documentation will be
- Coordinate with auditors, regulators, and external consultants.
- Ensure proper documentation and implementation of internal compliance processes.
- Draft, review, and vet agreements, contracts, MOUs, NDAs, and loan documentation.
Pay: ₹80,000.00 - ₹100,000.00 per month
