ROLE OBJECTIVE
We are seeking an experienced and detail-oriented Contracts Manager to oversee and manage all contractual matters related to real estate transactions, development projects, construction contracts, vendor agreements, consultant engagements and client-related contracts.
The ideal candidate will have strong knowledge of real estate and construction contracts, procurement, project timelines, contractual risk management and regulatory compliance, with the ability to ensure that all agreements protect the company's commercial and legal interests.
KEY RESPONSIBILITIES
1. Contract Drafting & Management
- Draft, review, negotiate and manage various contracts related to:
- Real estate acquisition and development
- Sale and purchase agreements
- Leasing and commercial agreements
- Construction and EPC contracts
- Contractor and subcontractor agreements
- Consultant agreements
- Vendor and service provider contracts
- Client and project-related agreements
- Review contractual terms and conditions to ensure they are commercially viable and aligned with company policies.
2. Contract Compliance & Administration
- Ensure all contracts comply with applicable legal, regulatory and company requirements.
- Monitor contractual obligations, milestones, deliverables, timelines and payment terms.
- Track the complete contract lifecycle, including execution, amendments, renewals, extensions, variations and closures.
- Maintain proper records of all executed contracts and related documentation.
3. Contractual Risk Management
- Identify, assess and mitigate potential contractual, commercial and legal risks.
- Review clauses relating to liability, indemnity, penalties, termination, warranties, insurance, payment terms, dispute resolution and other critical commercial provisions.
- Recommend appropriate risk-mitigation strategies to safeguard the company's interests.
- Highlight potential contractual exposures to senior management and relevant stakeholders.
4. Construction & Project Contracts
- Manage and administer contracts related to construction and real estate development projects.
- Coordinate with Project, Engineering, Procurement and Commercial teams to ensure contractual obligations are effectively implemented.
- Monitor project-related contractual commitments, timelines, variations, claims and deliverables.
- Review contractor and subcontractor agreements and ensure appropriate flow-down of contractual obligations.
- Knowledge of FIDIC or other standard construction contract forms will be an advantage.
5. Vendor & Procurement Contracts
- Review and negotiate agreements with contractors, consultants, vendors, suppliers and service providers.
- Ensure commercial terms, scope of work, deliverables, timelines, payment milestones, warranties and termination provisions are clearly defined.
- Coordinate with the Procurement and Finance teams to ensure contractual terms are aligned with procurement and payment processes.
6. Legal & Dispute Management
- Coordinate with internal and external legal counsel on contractual disputes, claims, notices and legal issues.
- Support the company in resolving contractual disputes and commercial matters with contractors, vendors, consultants, clients and other stakeholders.
- Assist in preparing contractual responses, notices, claims and supporting documentation.
7. Real Estate Transactions & Development
- Support contractual requirements related to residential and commercial real estate development projects.
- Review documentation associated with property transactions, development agreements and project-related arrangements.
- Support due diligence activities relating to land acquisition, development opportunities and joint venture partnerships.
- Review and coordinate contractual documentation for Joint Development Agreements (JDAs), Joint Ventures and other strategic partnerships.
8. RERA & Regulatory Compliance
- Ensure relevant contractual documentation is aligned with applicable RERA requirements and real estate regulations.
- Coordinate with Legal, Projects and Sales/CRM teams for RERA-related contractual and documentation requirements.
- Stay updated on changes in real estate laws, government regulations, policies and industry practices and advise internal stakeholders accordingly.
9. Contract Repository & Documentation
- Establish and maintain a centralized repository of all contracts and contractual documentation.
- Ensure proper document control, version management and accessibility.
- Maintain records of executed agreements, amendments, renewals, guarantees, notices, claims and other contractual correspondence.
- Develop and maintain appropriate contract trackers and MIS reports.
10. Internal Stakeholder Coordination
- Work closely with Legal, Projects, Finance, Procurement, Sales, CRM and Management teams to ensure contractual obligations are aligned with business objectives.
- Provide guidance to internal teams regarding contractual obligations, rights and responsibilities.
- Conduct awareness sessions and provide training on contractual best practices, compliance and key contract obligations.
11. Management Reporting
- Prepare periodic reports highlighting:
- Contract status
- Key contractual obligations
- Expiry and renewal dates
- Pending documentation
- Variations and claims
- Contractual risks
- Disputes and legal matters
- Key commercial exposures
- Escalate critical contractual and commercial issues to senior management in a timely manner.
