The Team
The Legal, Licensing & Contract Review Analyst is responsible for reviewing software terms, licensing agreements, data processing addendums, and vendor contracts to ensure compliance with corporate legal, data protection, and risk standards. This role plays a critical part in the software review process by identifying contractual risks, supporting informed decision-making, and enabling consistent, timely reviews in partnership with Corporate Legal and other stakeholders..
How you will contribute
Contract & Licensing Review:
- Review software terms of use, EULAs, licence agreements, data processing addendums (DPAs), and vendor contracts.
- Assess contractual provisions related to intellectual property rights, indemnities, liability, data processing, and permitted use.
- Apply standard legal positions and flag non-standard or high-risk terms requiring escalation.
Legal Coordination & Risk Escalation:
- Work closely with Corporate Legal to escalate high-risk terms and support negotiation where required.
- Provide clear, structured summaries of contractual risks and review outcomes to the Software Review team.
- Support consistent application of corporate legal standards across all software requests.
Contract Lifecycle & Operational Support:
- Track contract renewals, expirations, and required re-reviews to support proactive risk management.
- Maintain accurate contract documentation, version history, and supporting evidence.
- Provide operational support to the software catalogue coordinator and intake analyst during peak periods to maintain overall SLAs.
Qualifications
- 3+ years’ experience in contract review, procurement, legal operations, vendor management, or a related role.
- Familiarity with SaaS agreements, software licensing constructs, and data protection clauses.
- Strong analytical skills with the ability to identify, assess, and articulate contractual risk.
- High attention to detail and the ability to manage multiple concurrent reviews.
- Experience working in a professional services or consulting environment.
- Exposure to software governance, IT risk, or third-party risk management processes.
- Experience partnering with corporate legal, compliance, or privacy teams.
- Analytical, risk-aware, and detail-focused
- Pragmatic with sound commercial judgement
- Confident applying standards while knowing when to escalate
- Collaborative, with the ability to operate effectively across functions
