We are seeking experienced Company Secretaries for our Kolkata team to manage corporate, RBI and listed-entity compliance assignments.
Key Responsibilities
- Manage secretarial and regulatory compliance assignments for listed and unlisted NBFCs.
- Ensure compliance with the Companies Act, 2013, applicable rules and Secretarial Standards.
- Handle SEBI Listing Regulations and other compliances applicable to listed entities.
- Prepare agendas, notices, resolutions and minutes for Board, committee and shareholder meetings.
- Maintain statutory registers, records, disclosures and corporate documentation.
- Prepare and file forms and returns with the Ministry of Corporate Affairs and Registrar of Companies.
- Assist in RBI registrations, applications, approvals, returns and ongoing NBFC compliance.
- Support changes in management, shareholding, capital structure and control.
- Handle corporate actions, preferential issues, rights issues, private placements and related filings.
- Conduct secretarial audits, compliance reviews and corporate due diligence.
- Draft agreements, policies, legal documents, regulatory submissions and representations.
- Monitor regulatory developments issued by MCA, RBI, SEBI and other authorities.
- Coordinate with stock exchanges, depositories, registrars, auditors, legal counsel and client management.
- Prepare compliance calendars and ensure timely closure of statutory obligations.
- Assist clients during regulatory inspections, notices and compliance remediation.
Eligibility and Experience
- Qualified Company Secretary and member of the Institute of Company Secretaries of India.
- Minimum 2 years of relevant post-qualification experience.
- Prior experience with a listed NBFC is mandatory.
- Sound knowledge of the Companies Act, SEBI Listing Regulations and RBI directions applicable to NBFCs.
- Experience in Board processes, stock-exchange filings and statutory reporting.
- Strong legal and secretarial drafting skills.
- Proficiency in Microsoft Word, Excel and PowerPoint.
- Ability to independently manage client assignments and regulatory timelines.

- Strong attention to detail and sound understanding of corporate governance.
- Excellent written and verbal communication skills.
- Confident in coordinating with senior management, directors and regulatory authorities.
- Comfortable working in a consulting and deadline-driven environment.
- Available to join within a short notice period.
