JOB DESCRIPTION – COMPANY SECRETARY
Position: Company Secretary
Department: Secretarial / Legal & Compliance
Reporting To: Managing Director / Board of Directors
Location: Anna Nagar Chennai
Experience: 1 - 5 Years
Job Summary
We are looking for a qualified and experienced Company Secretary to ensure compliance with applicable corporate laws, statutory regulations, and company policies. The Company Secretary will be responsible for managing corporate secretarial functions, maintaining statutory records, and providing support to the Board of Directors and management.
Key Responsibilities
- Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws and regulations.
- Organize and coordinate Board Meetings, General Meetings, and Committee Meetings.
- Prepare agendas, notices, minutes, resolutions, and other statutory documents.
- Maintain statutory registers, records, and corporate documentation.
- File necessary forms, returns, and documents with the Registrar of Companies (ROC) and other regulatory authorities.
- Draft and review Board Resolutions, agreements, notices, letters, and other corporate documents.
- Advise the Board and management on corporate governance and statutory compliance matters.
- Coordinate with auditors, legal advisors, regulators, banks, and other external stakeholders.
- Monitor changes in corporate laws and ensure timely implementation of new requirements.
- Handle matters relating to share transfers, allotments, securities, and other corporate actions.
- Assist in preparation of annual reports and other statutory disclosures.
- Maintain proper custody and confidentiality of important company records and documents.
- Support management in legal, regulatory, and corporate governance matters.
Qualifications & Skills
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Graduate/Postgraduate qualification in Commerce, Law, or a related field is preferred.
- Good knowledge of the Companies Act, corporate laws, and statutory compliance.
- Strong drafting, communication, and documentation skills.
- Ability to coordinate effectively with senior management, directors, consultants, and government authorities.
- Good organizational skills and attention to detail.
- Proficiency in MS Office and relevant MCA/ROC compliance portals.
- Ability to maintain confidentiality and handle sensitive corporate information.

Pay: ₹45,000.00 - ₹55,000.00 per month
