Company Secretary
As a company secretary, you'll need to ensure a company complies with financial and legal requirements, as well as maintaining its high standards of corporate governance. Although not strictly required to provide legal advice, you'll also need to have a thorough understanding of the laws that affect your areas of work. A key part of your role will be to act as a point of communication between the board of directors and company shareholders, and in some cases an organisation's executive management.
Responsibilities –
1. Guide the chairman and the board to ensure they are operating in accordance with rules and regulations.
2. Prepare agendas and papers for board meetings, committees, and general meeting and follow up on action points and make compliances accordingly.
3. Convene BMs, GMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
4. Provide legal, financial, and/or strategic advice during and outside of meetings.
5. Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
6. Maintain statutory books, including registers of members, directors, and secretaries.
7. Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
8. Appointment/resignation of auditor, directors.
9. Preparation of documents and ensuring compliances of issue of new shares including any conversion.
10. Liaise with external regulators and advisers such as lawyers and auditors.
11. Implement processes or systems to ensure good management of the organization.
12. Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
13. Collaborated with internal stakeholders to ensure effective communication and coordination on governance-related matters.
14. Oversaw the organization's compliance with applicable laws, regulations, and corporate policies.
Legal
1. Creating legal documents, such as agreements, Deeds, letter of Intent, terms and conditions, and privacy policies or any other documents which is required.
2. Analyzing legal issues and reviewing draft contracts.
3. Negotiating terms and conditions with clients, malls and vendors, and settlement terms.
4. Providing advice on the interpretation of laws and regulations, and acting as a resource for the leadership team.
5. Ensuring compliance with relevant laws and regulations, and identifying potential risks and legal issues.
6. Developing and updating agreements and policies based on legal requirements, and establishing and maintaining contracting processes and templates
7. Overseeing the contracts management process, including filing and tracking.
Pay: From ₹40,000.00 per month
