Roles and Responsibilities
- Drafting and Vetting Legal Instruments: Draft/Vet Development Agreements, Sale Deeds, Conveyance Deeds, Agreements for Sale, Development Agreements, Consent Agreements, Leave & License Agreements, Power of Attorney, Affidavits, Mutual Non-Disclosure & Confidentiality Agreements.
- Drafting Commercial Contracts: Prepare commercial contracts such as MOUs, Term Sheets, Construction Contracts, NDAs, Sponsorship Agreements, Franchise Agreements, Power Purchase Agreements, Employment Contracts, Distributorship Agreements, HR Policies, Codes of Conduct, etc.
- Corporate Commercial Legal Advice: Provide corporate commercial legal advice with a primary focus on negotiating and structuring commercial transactions; Draft and review contracts and other commercial agreements such as Board Resolutions, Share Purchase Agreements, Subscription Agreements, Trademark License Agreements, etc.
- Client Communication: Ensure communication and correspondence with clients for finalizing terms & conditions of agreements/contracts and ensure these are finalized within negotiated and agreed-upon parameters.
- Real Estate Legal Practice: Candidate should have robust experience in all types of real estate-related advice and transactions, including but not limited to:
I. Conduct Property searches/due diligence and title-related requisitions; issuance of title certificates.
II. Drafting/amending/negotiating/finalizing Deeds of Conveyance, Agreements for Sale, Lease Deeds, Leave & License Agreements.
III. Drafting/amending/negotiating/finalizing Joint Development Agreements, Co- Development Agreements, Project Management Agreements.
IV. Drafting/amending/negotiating/finalizing all types of land/property/project financing documents.
V. Drafting/amending/negotiating/finalizing ancillary documentation such as Power of Attorney, Deed of Declaration, Deed of Indemnity, etc.
- Project Advice: Provide legal advice on all types of projects, including redevelopment, slum rehabilitation, and affordable housing.
- Client Meetings & Coordination: Attend meetings with clients; coordinate and follow up with clients for required inputs, approvals, and execution of deliverables.
