Prefer industry: Candidates with experience in listed company compliances, SEBI regulations, ROC filings, corporate governance, and board processes will be preferred
Qualification: Company Secretary (CS)
Experience Range: 3–4 years of relevant experience in secretarial, legal, or corporate compliance, preferably in a listed company or a manufacturing organization.

Objective of the Role :-
The Compliance Officer will be responsible for ensuring that the company complies with applicable corporate laws, regulations, SEBI requirements, stock exchange regulations, and other statutory obligations. The role will support the Company Secretary and management in maintaining strong corporate governance, timely statutory compliance, and effective regulatory reporting.
Knowledge and skills
- Strong knowledge of the Companies Act, 2013 and Secretarial Standards.
- Good understanding of SEBI regulations and compliance requirements applicable to listed companies.
- Knowledge of stock exchange compliances and corporate governance requirements.
- Strong drafting, documentation, and communication skills.
- Good analytical and problem-solving abilities.
- High level of attention to detail and ability to manage multiple deadlines.
- Proficiency in MS Office, particularly Word and Excel.
- Ability to work independently and coordinate effectively with multiple stakeholders.
Job Responsibilities
- Ensure timely compliance with the Companies Act, 2013, rules, regulations, and applicable amendments.
- Monitor compliance requirements under SEBI regulations, stock exchange requirements, and other applicable laws for a listed company.
- Assist in preparation and filing of statutory forms, returns, disclosures, and other regulatory submissions with MCA, SEBI, ROC, stock exchanges, and other authorities.
- Support the Company Secretary in organizing and conducting Board Meetings, Committee Meetings, and General Meetings, including preparation of notices, agendas, minutes, and related documentation.
- Maintain statutory registers, records, and corporate governance documentation.
- Assist in preparation of Annual Report, Corporate Governance Report, Board’s Report, and other statutory disclosures.
- Monitor insider trading compliance, including maintenance of structured digital databases, trading window requirements, disclosures, and related records.
- Track regulatory changes and assess their impact on the company.
- Coordinate with internal departments, auditors, consultants, legal advisors, and regulatory authorities on compliance matters.
- Support implementation and monitoring of the company’s policies, codes, and governance frameworks.
- Conduct periodic compliance reviews and ensure closure of identified compliance gaps.
- Maintain a compliance calendar and provide timely updates to management on upcoming statutory and regulatory obligations.
- Assist in handling secretarial audits, internal audits, and regulatory inspections, as applicable
- Ensure proper maintenance and preservation of corporate and statutory records.
