About the Role
Trafotech Systems Pvt. Ltd. is looking for an experienced and highly responsible Senior Legal Officer / Legal Advisor with 10–15 years of relevant professional experience to oversee and coordinate the company's legal matters, civil, recovery, arbitration and criminal matters
The person will be responsible for providing legal guidance to senior management, reviewing and managing agreements and legal documents, coordinating with external advocates/lawyers appointed by the company, and ensuring that the company's legal interests are adequately protected.
The role requires strong legal knowledge, sound judgement, confidentiality, and the ability to effectively coordinate with senior management, internal departments, government authorities, consultants, advocates, and other legal professionals.
Key Responsibilities1. Legal Advisory & Management Support
- Provide legal advice and guidance to senior management on day-to-day business and operational matters.
- Identify potential legal risks and advise management on appropriate preventive and corrective actions.
- Support management in making legally sound business decisions.
- Keep senior management informed about important legal developments affecting the company.
- Provide opinions on legal matters whenever required.
2. Coordination with External Lawyers & Advocates
- Coordinate and act as the primary internal point of contact with advocates, solicitors, legal consultants, and other lawyers appointed by the company.
- Brief external lawyers regarding company matters and provide them with necessary documents and information.
- Follow up on ongoing legal cases, notices, disputes, litigation, arbitration, and other proceedings.
- Coordinate between senior management and external legal professionals for important legal matters.
- Monitor the progress of cases and ensure timely action by appointed lawyers.
- Review and track legal opinions, drafts, notices, replies, petitions, and other documents received from external lawyers.
3. Contracts & Agreements
- Draft, review, negotiate, and advise on various agreements, contracts, MoUs, NDAs, work orders, purchase agreements, vendor agreements, subcontractor agreements, employment-related documents, consultancy agreements, and other commercial/legal documents.
- Identify unfavourable or risky clauses and recommend suitable modifications.
- Ensure appropriate legal protections are incorporated into company agreements.
- Maintain proper records of executed agreements and important legal documents.
- Coordinate with concerned departments for timely renewal, amendment, or closure of agreements.
4. Litigation & Dispute Management
- Monitor all legal disputes, claims, notices, litigation, arbitration, and other proceedings involving the company.
- Coordinate with external advocates handling company cases.
- Maintain a comprehensive Legal Case Tracker containing case status, next hearing dates, responsible lawyer, action points, financial exposure, and other relevant information.
- Ensure that replies, submissions, documents, and other legal requirements are completed within prescribed timelines.
- Escalate critical or high-risk legal matters to senior management immediately.
5. Legal Notices & Correspondence
- Review legal notices received by the company and advise management on appropriate responses.
- Coordinate preparation of replies to legal notices.
- Draft notices, letters, responses, undertakings, declarations, and other legal correspondence wherever required.
- Ensure that important legal communications are properly documented and preserved.
6. Compliance & Regulatory Matters
- Assist management in ensuring compliance with applicable laws, rules, regulations, and statutory requirements relevant to the company's business.
- Coordinate with internal departments, consultants, and external professionals for legal and regulatory compliance.
- Monitor changes in applicable laws and advise management regarding their potential impact on the company.
- Assist in developing and updating company policies from a legal perspective.
7. Tender, Project & Commercial Legal Support
- Review legal terms and conditions of tenders, contracts, work orders, and project documents.
- Identify legal and contractual risks before submission or acceptance.
- Coordinate with the tender, commercial, technical, procurement, finance, and project teams on contractual matters.
- Assist in reviewing contractual obligations, liabilities, penalties, indemnities, warranties, termination clauses, dispute-resolution provisions, and other critical clauses.
- Provide legal support during project execution and closure.
8. Internal Coordination
- Work closely with senior management and various departments including HR, Finance, Procurement, Tender, Projects, Operations, Sales & Marketing, and Administration.
- Provide timely legal inputs whenever required by different departments.
- Ensure that important legal matters are properly escalated to management.
- Maintain confidentiality of sensitive company information and legal matters.

Candidate Profile
Essential Qualifications:
- LL.B. degree from a recognized university.
- LL.M. will be an added advantage.
- MBA Qualified
- Membership/enrolment with the relevant Bar Council, wherever applicable.
Experience:
- 10–15 years of relevant legal experience.
- Experience in corporate/commercial legal matters, contracts, litigation coordination, and legal advisory.
- Experience working with companies, legal departments, law firms, or reputed legal practices preferred.
- Experience in engineering, infrastructure, EPC, power sector, manufacturing, or project-based organizations will be an added advantage.

Engagement Model
The position can be considered for:
Option 1 – Full-Time:
Dedicated legal professional responsible for managing and coordinating the company's overall legal function.
Option 2 – Part-Time / Retainer:
Experienced legal professional available on a scheduled/retainer basis, with responsibility for advising senior management, reviewing important legal documents, coordinating with appointed advocates, and monitoring critical legal matters.
Preferred Experience
Candidates who have handled legal matters for corporates, EPC companies, engineering companies, manufacturing organizations, infrastructure companies, or power-sector organizations will be preferred.
Note: The role requires a senior professional who can act as a bridge between Senior Management and the various external lawyers/advocates appointed by the Company, ensuring that legal matters are properly coordinated, monitored, documented, and closed in a timely manner.
Pay: ₹100,000.00 - ₹400,000.00 per year
