Job Summary:
We are seeking an experienced Company Secretary to lead corporate compliance, governance, and secretarial functions. The role requires deep expertise in corporate laws, strong stakeholder management, and the ability to independently manage Board processes while advising senior leadership on regulatory and governance matters.
Key Responsibilities:
1. Corporate Compliance & Regulatory Management
- Ensure end-to-end compliance with the Companies Act, 2013 and allied laws.
- Oversee all filings with the Registrar of Companies (ROC) and MCA.
- Manage compliance calendars and ensure zero non-compliance.
- Handle secretarial audits, internal audits, and regulatory inspections.
2. Board & Committee Management
Lead planning and execution of:
- Board Meetings
- Audit Committee Meetings
- AGM & EGM
Draft high-quality:
- Board agendas
- Minutes
- Resolutions
Advise Directors on duties, liabilities, and governance frameworks.
3. Corporate Governance & Advisory
- Implement and monitor corporate governance best practices.
- Advise senior management on legal risks and compliance strategies.
- Develop and update internal policies in line with regulatory requirements.
4. Capital & Shareholder Management
Manage:
- Equity structuring
- Share allotments, transfers, and restructuring
- Dividend declarations and distribution
Oversee ESOP schemes and compliance.
Maintain investor relations documentation.
5. Legal & Strategic Support
- Review and vet contracts, agreements, and legal documents.
- Support mergers, acquisitions, restructuring, and due diligence.
- Coordinate with legal advisors, auditors, and consultants.
6. Liaison & Representation
- Represent the company before regulators and authorities.
- Handle notices, inquiries, and legal correspondence.
- Build strong relationships with external stakeholders.
7. Team Leadership (if applicable)
- Lead and mentor junior CS or compliance team members.
- Allocate and review work for accuracy and timeliness.
Qualifications:
- Qualified member of Institute of Company Secretaries of India (ICSI)
- LLB or additional legal/finance qualification preferred
Experience Requirements:
Minimum 5–10+ years in corporate secretarial/compliance roles
Experience in:
- Private limited or listed companies
- Handling Board-level responsibilities independently
Exposure to SEBI regulations (for listed companies) is a strong advantage

Reporting To:
- Board of Directors / CFO / CEO
Role Expectations (Senior Level):
- Act as a trusted advisor to the Board
- Ensure proactive compliance, not just reactive filings
- Drive governance culture across the organization
Pay: ₹800,000.00 - ₹1,200,000.00 per year
