Role Overview
The Senior Legal Executive will independently manage the organization's intellectual property, corporate legal, commercial contracts, and trade finance legal functions. The role involves drafting and reviewing complex legal documents, ensuring regulatory compliance, managing intellectual property portfolios, mitigating legal risks, and providing strategic legal support across business operations.
Key Responsibilities
- Draft, review, negotiate, and manage commercial contracts including MSAs, Vendor Agreements, NDAs, Service Agreements, Employment Agreements, Lease Agreements, Consultancy Agreements, Technology Agreements, and Licensing Agreements.
- Conduct trademark availability searches and manage trademark filings, prosecution, renewals, oppositions, rectifications, and copyright registrations.
- Draft Intellectual Property Assignment, Licensing, and Co-existence Agreements while advising on brand protection, infringement, and enforcement strategies.
- Review and vet trade finance documentation including Performance Bank Guarantees (PBG), Advance Payment Guarantees (APG), Bid/Tender Guarantees, Standby Letters of Credit (SBLC), Letters of Credit (LC), and related banking instruments.
- Identify legal and commercial risks in contracts and trade finance documentation and recommend appropriate mitigation measures.
- Ensure compliance with applicable laws, corporate governance requirements, and international trade finance rules including URDG 758, UCP 600, and ISP98.
- Prepare Board Resolutions, maintain statutory compliance records, conduct legal due diligence, and coordinate with regulatory authorities and external legal professionals.
- Develop and maintain legal templates, compliance trackers, and documentation standards to support business operations.
Qualifications
- LL.B. / B.A. LL.B. (Mandatory).
- 4–7 years of experience in Corporate Legal, Intellectual Property, Commercial Contracts, and Trade Finance documentation.
- Applicants should be enrolled with the Tamil Nadu & Puducherry Bar Council as practicing advocates (preferred).
Skills Required
- Strong knowledge of Intellectual Property Laws, including Trademark and Copyright Law.
- Expertise in commercial contract drafting, review, negotiation, and legal advisory.
- Good understanding of Corporate Legal, Companies Act, 2013, MCA compliance, and due diligence.
- Experience in reviewing Bank Guarantees, Letters of Credit (LC), Standby Letters of Credit (SBLC), and trade finance documentation.
- Familiarity with URDG 758, UCP 600, ISP98, and applicable banking regulations.
- Excellent legal research, drafting, negotiation, communication, and analytical skills.
- Proficiency in AI-assisted legal research and legal documentation tools.
