Job Title: Executive – Company Secretary (CS)

Qualification: Any UG (CS Mandatory)
Key Responsibilities
- Manage all corporate secretarial matters and ensure compliance with the Companies Act, 2013, Secretarial Standards, FEMA regulations, and other applicable laws.
- Convene and manage Board Meetings, Committee Meetings, and Shareholder Meetings, including preparation of notices, agendas, resolutions, minutes, and maintenance of statutory records and registers.
- Handle all ROC filings, annual compliances, event-based filings, and regulatory submissions.
- Maintain corporate records, statutory registers, licenses, approvals, and governance documentation.
- Support fundraising, private equity/venture capital investments, corporate restructuring, M&A transactions, and implementation of corporate actions.
- Coordinate Board, shareholder, and regulatory approvals in relation to fundraising, equity issuances, share transfers, buybacks, rights issues, and other capital restructuring activities.
- Administer and manage Employee Stock Option Plans (ESOPs) and other employee equity incentive programs.
- Ensure compliance relating to ESOP grants, vesting, exercises, cancellations, amendments, disclosures, and regulatory filings.
- Maintain ESOP registers, grant records, exercise records, cap tables, and equity-related documentation.
- Coordinate with valuation consultants, auditors, legal advisors, transfer agents, and equity administration platforms for ESOP and equity compliance matters.
- Support issuance of grant letters, exercise documentation, employee communications, and implementation of equity compensation programs across jurisdictions.
- Monitor compliance requirements, maintain compliance calendars, and ensure timely closure of statutory obligations.
- Liaise with external counsel, auditors, regulators, and government authorities on corporate governance and compliance matters.
- Assist in drafting and reviewing contracts, corporate documents, policies, governance frameworks, and compliance processes.
- Support the Legal team on governance, corporate, compliance, and strategic projects as required.
Requirement:
- Qualified Company Secretary (Member of ICSI).
- 1-3 years of post-qualification experience.
Preferred Skills:
- Experience in startup, technology, SaaS, or multinational organizations.
- Exposure to cross-border corporate structures and overseas subsidiaries.
- Strong drafting, stakeholder management, and project management skills.
- Ability to work independently and manage multiple priorities in a fast-paced environment
