Principal Accountabilities
1. Governance and Compliance:
- Ensure the Board of Directors and its committees comply with all legal and regulatory frameworks.
- Maintain proper information flow within the Board and between senior management.
- Oversee compliance with all applicable laws and regulations.
- Manage the company's statutory filings and reporting requirements.
- Provide guidance to management on matters of governance, risk, and compliance.
2. Board Support:
- Develop and maintain procedures for the conduct of Board business.
- Support the effective operation of the Board and its committees.
- Manage information flow to and from the Board.
- Identify and raise awareness of any unmanaged risks.
- Oversee the planning and execution of Board meetings.
- Provide legal advice to the Board and its Directors.
3. Legal Services:
- Provide legal advice on agreements and related compliance.
- Draft legal contracts as required.
- Manage legal tools implemented by the company.
4. Other Duties:
- Manage the Company Compliance Portal.
- Coordinate internal and statutory audits.
- Conduct secretarial audits.
- Assist in the preparation of functional MIS.
- Manage insurance policies.
- Oversee banking documentation and processes.
- Act as a Procurement Process Custodian for Finance and Administration.
