Job Description – Transaction Advisory (Infrastructure Sector)
Qualification
- Chartered Accountant (CA)/MBA (Finance)/CFA/Engineering with relevant experience
- 2–3 years of experience in transaction advisory, infrastructure consulting, project finance, or financial due diligence
Job Summary
The role involves evaluating investment opportunities, conducting due diligence, preparing financial models, supporting bid processes, and advising on Public-Private Partnership (PPP) and EPC/HAM/BOT projects across sectors such as roads & highways.
Key Responsibilities
Transaction Advisory
- Conduct financial and commercial due diligence for infrastructure projects.
- Evaluate investment opportunities, mergers, acquisitions, and asset monetization transactions.
- Review concession agreements, EPC contracts, O&M agreements, and project documentation.
- Assist in valuation of infrastructure assets and businesses.
Financial Analysis & Modeling
- Develop and review financial models for infrastructure projects.
- Analyze project viability, cash flows, IRR, NPV, DSCR, and sensitivity scenarios.
- Prepare feasibility studies and business plans.
- Support project financing and refinancing assignments.
Bid Advisory
- Assist in preparation and evaluation of bids for infrastructure projects.
- Review and analyze RFQ, RFP, concession agreements, EPC contracts, and bid documents.
- Identify commercial and financial risks associated with bids.
- Support clients in bid strategy and transaction structuring.
Due Diligence & Compliance
- Perform financial, contractual, and operational due diligence.
- Review statutory compliances, project documentation, and contractual obligations.
- Identify transaction risks and recommend mitigation measures.
- Coordinate with technical, legal, and tax advisors during transactions.
Client Management
- Coordinate with clients, lenders, government agencies, and other stakeholders.
- Participate in client meetings and presentations.
- Support business development and proposal preparation for advisory assignments.
Required Skills
- Strong understanding of project finance and infrastructure business models.
- Knowledge of PPP, BOT, HAM, EPC, and O&M frameworks.
- Familiarity with infrastructure contracts and concession agreements.
- Excellent analytical, report-writing, and presentation skills.
- Advanced proficiency in Microsoft Excel and PowerPoint.
- Ability to manage multiple assignments and work under deadlines.

Key Responsibilities
- Provide transaction advisory services for infrastructure projects, particularly under NHAI, HAM, BOT, PPP, TOT, and EPC frameworks.
- Conduct financial and commercial due diligence, project feasibility studies, and valuation of infrastructure assets.
- Develop and review financial models, including cash flow projections, IRR, NPV, and sensitivity analysis.
- Review RFQs, RFPs, concession agreements, and project contracts to identify commercial and financial risks.
- Support bid advisory, project financing, acquisitions, asset monetization, and strategic transactions.
- Prepare investment notes, due diligence reports, and presentations for clients, lenders, and investors.
- Coordinate with legal, technical, and financial stakeholders throughout the transaction lifecycle.

Pay: ₹35,000.00 - ₹60,000.00 per month
