- Maintenance of statutory Registers and Records and updating these records on yearly basis and on event basis
- Statutory compliances with regard to company Law and amendments thereto, Listing Agreement with stock Exchange, SEBI Regulations, Rules, Circulars, Notifications of Ministry of corporate Affairs and amendments thereto
- Compliance with the directions issued under MCA
- Updating the Board on regular amendments in the listing agreement / SEBI (LODR) Regulations.
- Maintaining a track of insider trading dealings and following the required procedure, amendment of the Code of Insider Trading
- Constant watch/track of share price, benpos, share transfers
- Adherence to the Company law
- Maintenance of statutory Registers and Records of Subsidiary Company
- Filing of yearly and event based returns with ROC including verification of XBRL filings
- Quarterly, Half yearly and yearly event based Compliances with Stock Exchange including certification from Auditors and practicing Company Secretary
- Vetting of legal agreements – NDA’s with domestic and international clients, Dealer agreements, Rental agreements, MOU’s with different clients, Agency, Services, Consultant, Transport, Consultant agreements, Lease Deed, etc
- Incorporation of Companies
- Dividend related work, appointment of banker, documentation, printing and dispatch of dividend warrants and NECS intimations, maintenance of data paid, unpaid, revalidation of warrants, closure of dividend account, transfer to IEPF, reconciliation and filing of unpaid dividend data with MCA
- Share transfer work including issue of duplicate shares, remat, demat, pledging of shares
- Correspondence with the shareholders & taking yearly disclosures from Directors
- Listing of the Company at BSE, NSE & delisting at ISE – Our company is BSE listed, and got delisted at ISE
- inclusion/alteration to the Main objects of the Company involving postal ballot formalities
- Change of the RTA and related procedural formalities like circular resolution etc
- Charge creation, modification and satisfaction
- Submitting proposals for Appointment / reappointment of Statutory Auditors, Internal Auditors, Directors, Cost Accountants and Secretarial Auditor and intimations
