ROLE OVERVIEW
As Company Secretary & Legal Manager, you will own the end-to-end secretarial and legal compliance function for BIPL's India operations. This is a high-trust, high-impact role at the intersection of corporate law, regulatory compliance, and crossborder governance. You will manage all MCA/ROC filings, board and shareholder matters, FEMA/FDI compliance for a wholly-owned foreign subsidiary, commercial contract review, and coordination with external legal counsel. You will work directly with Management and HQ, and serve as the primary point of accountability for BIPL's corporate governance obligations under the Companies Act, 2013 and regulations applicable to LSPs. This role demands someone who is detail-obsessed, deadline-driven, and comfortable operating independently in a lean, fastmoving fintech environment with zero tolerance for regulatory gaps.
WHAT YOU'LL DO Corporate Secretarial & MCA Compliance Own all ROC/MCA filings: annual returns (MGT-7A), financial statement filings (AOC-4), director KYC (DIR-3 KYC), charge filings, and event-based forms with zero delays Maintain statutory registers, minutes books, and all secretarial records in full compliance with the Companies Act, 2013 Organise and manage Board meetings, EGMs, and AGMs: prepare notices, agendas, board packs, and draft minutes with precision Handle all director-related compliance: appointments, resignations, DIN management, consent filings, and DSC maintenance Maintain and update the Register of Members, Register of Directors, Register of Charges, and other statutory registers FEMA, FDI & Cross-Border Compliance Manage FEMA/FDI compliance end-to-end for BIPL's wholly-owned subsidiary structure: FC-GPR filings, FC-TRS, ODI reporting, and annual FEMA returns (FLA, APR) Coordinate with the Authorised Dealer bank for all inward remittances, equity infusions from Singapore parent, and related RBI filings
- Ensure full compliance with Foreign Exchange Management Act provisions applicable to cross-border transactions, intercompany loans, and fund flows between BIPL and it’s parent • Track and ensure timely filings under FEMA (Non-Debt Instruments) Rules and FEMA (Mode of Payment & Reporting) Regulations • Maintain FDI compliance records and support statutory auditors and RBI inspections as needed RBI & Fintech Regulatory Compliance • Monitor and implement RBI guidelines and circulars applicable to Lending Service Providers (LSPs), digital lending, and NBFC-LSP frameworks • Maintain BIPL's regulatory compliance calendar covering all RBI, MCA, and FEMA deadlines; ensure zero lapses • Support compliance with RBI's Digital Lending Guidelines, Fair Practices Code, KYC/AML norms, and data localisation requirements • Coordinate with NBFC lending partners on regulatory matters, co-signing agreements, and ensuring LSP compliance obligations are met
Pay: ₹800,000.00 - ₹1,200,000.00 per year
