The ideal candidate is a certified Company Secretary (Member of ICSI) who acts as the primary liaison between the Board of Directors, shareholders, and regulatory authorities (MCA, SEBI, ROC, RBI).
Key Responsibilities:
- Statutory Compliance: Ensure strict adherence to the Companies Act, SEBI regulations, and other relevant corporate laws.
- Board Management: Organize board and shareholder meetings, draft agendas, and prepare accurate minutes and resolutions.
- ROC Filings: Independently handle routine and event-based ROC filings, annual returns, and financial documentation e-forms.
- Statutory Registers: Maintain and update statutory registers, records, and corporate books.
- Corporate Governance: Advise senior management and the board on best practices in corporate governance, compliance tracking, and legal risks.
- Financial Reporting: Coordinate with finance teams to ensure statutory records align with financial reporting and taxation standards.
Requirements & Qualifications:
- Education: Certified Company Secretary (ACS/FCS). Additional qualifications like LLB or CA are a strong advantage.
- Experience: 5 to 12 years of post-qualification experience, preferably within IT/Tech, Manufacturing, Real Estate, or NBFCs.
