Job Summary:
The Company Secretary (CS) is responsible for ensuring compliance with the provisions of the Companies Act, SEBI regulations (where applicable), and other statutory and regulatory requirements. The role includes managing corporate governance, board meetings, legal and secretarial compliance, statutory filings, and advising the Board on corporate legal matters.
Qualifications:
- Member of the Institute of Company Secretaries of India (ICSI) with a valid Certificate of Practice.
- Bachelor's degree in Commerce, Law
- LLB will be an added advantage.
Experience:
- 2+ years of relevant experience as a Company Secretary
- Experience in manufacturing or BSC | MSC FMCG companies is preferred
Key Responsibilities:
- end-to-end listed entity compliances under SEBI (LODR) Regulations, SEBI (PIT), Regulations, stock exchange regulations, SEBI circulars, and other applicable securities laws.
- Executed quarterly, half-yearly, annual, and event-based filings/disclosures with BSE Limited, including financial results, shareholding pattern, corporate governance, investor grievance reporting, newspaper publications, and other regulatory submissions.
- Conducted Board, Committee, AGM, EGM, and Postal Ballot compliances, including preparation of notices, agendas, board notes, resolutions, minutes, and statutory documentation.
- Oversaw governance compliances of Board Committees including Audit Committee, NRC, Stakeholders Relationship Committee, CSR Committee, and other committees.
- Ensured compliances under the Companies Act, 2013 and Secretarial Standards, including annual filings, event-based filings, incorporation-related filings, appointment /resignation of Directors & KMP, charge creation /modification /satisfaction filings, maintenance of statutory registers, disclosures, and other ROC compliances.
- Facilitated Investor Relations and Shareholder Services, including direct shareholder interaction and resolution of transfer, transmission, dematerialization, dividend, KYC, nomination, and investor grievance matters

- legal documents including NDAs, Lease Deeds, commercial agreements, declarations, notices, and legal correspondence
Skills Required:
- Thorough knowledge of the Companies Act, 2013 and corporate governance practices.
- Strong understanding of corporate legal and secretarial compliance.
- Excellent drafting and documentation skills
- Attention to detail and organizational abilities.
- Analytical and problem-solving skills.
- Ability to handle confidential information with integrity
- Proficiency in secretarial | compliance software.
Pay: ₹55,000.00 - ₹75,000.00 per month
