Key Responsibilities:
- Ensure compliance with corporate laws, regulations, and governance codes.
- Organize and attend board meetings, preparing agendas, minutes, and resolutions.
- Maintain statutory books, including registers of shareholders and directors.
- Handle company secretarial filings and documentation, including annual returns and financial statements.
- Advise the board on governance matters and corporate structure.
- Ensure the proper execution of corporate policies and procedures.
- Serve as the point of contact between the board of directors and shareholders.
- Coordinate audits and liaise with external regulators and advisers.
Skills and Qualifications:
- In-depth knowledge of corporate laws, governance, and compliance.
- Strong organizational and communication skills.
- Attention to detail and ability to handle confidential information.
- Legal or business-related qualifications; professional CS qualifications are preferred.
