Key Responsibilities
- Draft and review schemes of merger/amalgamation, including valuation reports, auditor certificates, and fairness opinions, ensuring compliance with Sections 230-232 of the Companies Act.
- File applications with NCLT in Form NCLT-1, coordinate board resolutions, shareholder/creditor meetings, and notices in Form NCLT-2.
- Liaise with regulators like SEBI, CCI, ROC, and tax authorities for clearances; represent in NCLT hearings and address stakeholder objections.
Required Qualifications
- Qualified CA with 1+ years in M&A, preferably NCLT filings; knowledge of fast-track mergers for small companies is a plus.
- Expertise in due diligence, FEMA, IBC, and accounting standards for de-mergers or amalgamations.
Skills and Experience
- Proficiency in NCLT procedures (10-12 month timelines typical); experience with private or listed company M&As.
- Strong documentation skills for creditor lists, affidavits, and post-approval ROC filings.
