*Key responsibilities*
- *Strategy & oversight*: Set long-term vision, approve major decisions, budgets, and investments
- *Governance*: Ensure compliance with company law, tax, labor, and industry regulations. In India that’s Companies Act 2013 + SEBI if listed
- *Financial stewardship*: Review financial statements, approve annual budgets, monitor profitability and risk
- *Leadership*: Hire/appoint CEO/MD, evaluate top management, set company culture
- *Stakeholder relations*: Protect interests of shareholders, employees, customers. Act as link between management and owners
- *Risk management*: Identify business, legal, and operational risks and put mitigation plans in place

- Financial literacy - can read P&L, balance sheet, cash flow
- Leadership + negotiation
- Strong ethics and accountability
- Understanding of corporate law and compliance.
