Key Responsibilities
- Provide legal advice and support to corporate and business clients on various corporate and commercial matters.
- Draft, review and negotiate commercial agreements, contracts, MOUs, NDAs, service agreements, vendor agreements, employment agreements, and other legal documents.
- Handle matters relating to Companies Act, 2013, corporate governance and statutory compliances.
- Assist in drafting and reviewing Board Resolutions, Shareholder Resolutions, Notices, Agreements and Corporate Documents.
- Advise clients on corporate structuring, incorporation, restructuring, mergers, acquisitions and other corporate transactions.
- Conduct detailed legal research on corporate, commercial and regulatory matters.
- Review contracts and identify legal, commercial and compliance-related risks.
- Assist in matters relating to ROC/MCA, SEBI, RBI, FEMA and other applicable regulatory authorities, wherever required.
- Handle and advise on commercial disputes, contractual disputes and corporate legal matters.
- Coordinate with Chartered Accountants, Company Secretaries, clients and other professionals for integrated legal and corporate advisory services.
- Assist in preparing legal opinions, notices, replies, representations and legal correspondence.
- Monitor changes in applicable laws, rules, notifications and regulatory requirements and advise clients accordingly.
- Maintain proper documentation, records and timelines for assigned matters.
- Represent or assist clients before appropriate authorities, tribunals or courts, wherever required and within the scope of the role.
Required Skills & Competencies
- Strong knowledge of Corporate Law and Commercial Law.
- Excellent legal drafting and contract drafting skills.
- Strong legal research and analytical abilities.
- Good understanding of the Companies Act, 2013 and corporate regulatory framework.
- Ability to understand complex commercial transactions and provide practical legal solutions.
- Strong negotiation and communication skills.
- Ability to independently handle assignments and meet deadlines.
- Excellent attention to detail and documentation skills.
- Professional approach with strong work ethics, discipline and confidentiality.
- Ability to work effectively with CA, CS, legal and business teams.
Educational Qualification
- LL.B. / LL.M. from a recognized university.
- Candidate must be enrolled with the Bar Council.
- Additional qualification or exposure in Corporate Law, Company Law, Commercial Law or Corporate Compliance will be preferred.
Experience
- 2–5 years of relevant post-qualification experience in Corporate Law, Commercial Law, Corporate Advisory, Law Firm, CA Firm or Professional Consultancy Firm.
- Experience in corporate documentation, contract drafting, MCA/ROC matters and client advisory will be an added advantage.

Pay: ₹8,000.00 - ₹15,000.00 per month
